    What the Zee-Sony settlement means

    (Below is  Elara Securities’ Karan Taurani’s  perspective  on the settling of the dispute between Zee and Sony)

    Mumbai: The above development (settlement by Sony and not imposing a $ 90 mn termination fee to Zee) has no material impact in terms of earnings estimates as this case was a status quo with regulators. We had not factored any adverse impact of the case (Sony Zee merger termination) in our earnings estimates. However, this is seen as a clear respite to ZEEL’s core broadcasting business, which is trading at compelling valuations of seven times to one-year forward PE and has the potential to move towards our target multiple of 11 times PE core broadcasting business.

    We continue to maintain our positive stance on ZEEL, as we expect better growth rates in the festive season (Q3FY25), led by higher ad spends within FMCG verticals; further profitability too will continue to improve helped by cost-cutting initiatives, improved efficiencies, and lower losses in ZEE5, which will drive valuation re-rating. We have a BUY rating on ZEEL with a TP of Rs 210.

    Highlights    

    – In an update to the stock exchange, Zee and Sony Pictures India (CMEPL and BEPL) have entered into a settlement to withdraw applications pending lawsuits, claims and counterclaims including a $ 90 mn termination fee, damages etc.

    – The agreements include a) Settlement for all ongoing disputes, b) Withdraw all applications, claims and counterclaims against each other (including a $ 90 mn termination fee), and c) Releasing each other from all claims regarding the transaction documents.

    – The parties have agreed to withdraw all pending applications, claims, and counterclaims filed before the Singapore International Arbitration Centre (SIAC)

    – On 22 Jan 2024, Sony terminated the merger cooperation agreement, and the composite scheme of arrangement originally signed on 22 Dec 2021. Sony immediately sought $ 90 mn in termination fees by filing an appeal with the Singapore International Arbitration Centre (SIAC).

    – The merger was primarily called off due to a dispute on the leadership of the merged entity.

    – The ZEEL had also filed case against Sony India seeking a $ 90 mn termination fee

    Mumbai: ZEE Entertainment Enterprises Ltd (ZEEL), content and entertainment powerhouse and Emirates Cricket Board have released the list of retained players for the upcoming edition of the much-anticipated truly global cricket league – DP World International League T20 Season 3. The six franchise teams have retained a total of 69 players for the tournament’s third season which will be played from Saturday, 11 January to Sunday, 9 February 2025 in Dubai, Sharjah and Abu Dhabi.

    The retained players include T20 heavyweights like David Warner, Nicholas Pooran, Andre Russell, Sunil Narine, Alex Hales, Sherfane Rutherford, Wanindu Harasanga, Rovman Powell, Dwayne Bravo, Kieron Pollard, Shimron Hetmyer, Sam Billings, David Willey, Dasun Shanaka, Sikandar Raza, Chris Jordan, James Vince, Akeal Hosein, Johnson Charles and Tom Kohler-Cadmore.

    Among the 69 retained players, 26 were part of various ICC Men’s T20 World Cup 2024 squads, highlighting the league’s global appeal and success on the world stage. Earlier this year, ZEE Entertainment Enterprises Limited (ZEEL) reported that the league’s second season reached 221 million viewers. ZEE Entertainment’s extensive distribution strategy ensured widespread accessibility in India and across the globe.

    As the third season approaches, ZEE Entertainment promises to deliver captivating action in an engaging and dynamic fashion across its linear channels and OTT platform, ZEE5. Commenting upon this announcement,  ZEEL chief growth officer Ashish Sehgal said, “It gives us great pleasure to reveal the plethora of cricket stars retained for the upcoming season of DP World ILT20. With some of the biggest names in cricket, the third season of DP World ILT20 promises to be one of the most competitive cricket leagues globally.     The window for retaining players opened on 1 June with the teams given two weeks to submit the list of the retained players. Season 3 is set to see a number of world-class and seasoned T20 players from around the world. Each of the six franchises has retained two UAE players.

    The UAE players retained for Season 3 include Aditya Shetty and Alishan Sharafu (Abu Dhabi Knight Riders), Ali Naseer and Tanish Suri (Desert Vipers), Haider Ali and Raja Akif (Dubai Capitals), Aayan Afzal Khan and Mohammad Zohaib Zubair (Gulf Giants), Muhammad Rohid Khan and Muhammad Waseem (MI Emirates), Junaid Siddique and Muhammad Jawadullah (Sharjah Warriors).

    Following the completion of the players’ retention window, the teams can now sign new players in the ongoing Player Acquisition Window which will stay open till 15 September.

    Each franchise can sign at least two additional UAE players to complete their quota of four UAE signings after completing the ILT20 Development Tournament which will be held in October.

    On Zee TV integrating digital platforms to maximize the reach and impact of Zee Cine Awards

    Sehgal: Today we are very focused on how we are trying to build our reach not only in linear television, but also in the digital space. If you see social media, the entire meta ecosystem we had almost 150 million reach and almost 60 million followers across all our pages. That’s a humongous amount of viewership, which no broadcaster had till date. However, we feel that there are many platforms like Meta, YouTube, etc, we know don’t see them as competition, but more like our platforms. So the idea is how we can take our content to our consumers as much as possible? Hence, we have a proper strategy behind building viewership amongst all the platforms, whether it is telcos, whether it is YouTube ecosystem, or whether it is like a Meta ecosystem. So our digital presence is going to be quite formidable.

    On the landscape of Hindi cinema influencing the execution of Zee Cine Awards

    Tiwari: The Cinema cluster at ZEE holds a strategic commitment to recognizing and applauding exceptional cinema. Over our three-decade legacy, we have positioned ourselves as adept aggregators of quality films, spanning 8 languages across 17 channels. The Zee Cine Awards stands tall as our iconic initiative, dedicated to honouring the finest performances of the year.

    Celebrating its 22nd edition, this year holds special significance against the backdrop of the uncertainties that loomed over Hindi cinema, following the challenges posed by Covid. It started with Pathaan, then came Gadar 2, Jawaan, and now Animal. Apart from these mega successes, there were incredible stories like  ’12th Fail’ , Mrs Chatterjee vs Norway and Sam Bahadur. This cinematic journey in 2023 has proven to be a transformative one, marked by a resurgence of joy as the industry got back its confidence and garnered a renewed appreciation and so much love from the audiences.

    The narrative of 2023 unfolds as a narrative of comebacks, symbolizing the resurgence of Hindi cinema, the return of Shahrukh Khan, and the revival of the Deols. It reflects our commitment to not only acknowledging excellence but also embracing the triumphs and resurgences that have defined the cinematic landscape this year.

    On the strategies Zee TV employs to ensure sponsors receive tangible returns on their investment to the award show

    Sehgal: Zee Cine Award is not just a one day event like how normally people perceive it. For us it’s a festival for almost two and a half three months. We showcase the show across all our channels, and also various Hindi speaking markets whether it is Bhojpuri, whether it is Bangla, Marathi apart from all the Hindi channels and the free-to-air channels as well,  so that maximum reach happens on the show and the content is curated before and after also for the show. While there will be one day of the awards, prior to that we start building a lot of content which will be in promoting but at the same time facilitating or you know kind of showcasing what you are going to see during that one day. So Zee Cine Award is always a culmination of the award. Now having said that, how does it help the sponsors? Sponsors do get mileage across these three months, so they can actually build their whole campaigns around this show. Secondly, these sponsors do not just run their inventory there, we create a lot of content for the sponsors within the show. There is a lot of customisation of the brand’s energy along with our shows . We create moments within the show and before the show, which helps advertisers build their message within that. It’s a 360 degree, where they get a lot of mileage in ground presence and for Maruti we do dealer visits with our stars who would go and promote the listing in the dealership etc.

    On Zee Cinema envisioning the future of award shows in the era of digital platforms

    Tiwari: Content is always platform-agnostic, it inherently transcends platforms, seamlessly adapting to both linear broadcasting and OTT channels. The beauty lies in its universal accessibility, reaching audiences regardless of the medium. The overarching objective is to maximize viewership.

    Sehgal: TV gives you the highest reach. But at the same time digital will become an engagement partner for us before the show. As I said, we will use your social media for engaging, remoting bytes of the stars when they’re coming, then the whole content will be also showcased on digital platforms like our Zee5 and later on to YouTube etc. So we use platforms now to take the content to as many people as possible. We are creating content which is platform agnostic.

    Tiwari: Few properties exhibit a natural compatibility across all mediums. Notably, in non-fiction and event categories, award functions exemplify the synergy between digital and linear domains. They thrive in the digital realm, presenting a seamless blend that resonates well with audiences on both fronts.

    Mumbai: Right from its launch, ZEE Biskope has taken the Bhojpuri entertainment market on a rise. The brand has demonstrated its strength in sharply deep diving into consumer insights.     Mumbai: Speaking in a conference call, ZEEL managing director & CEO Punit Goenka said during the company’s Q2 FY23 earnings call that he remains hopeful of a steady recovery in the advertising environment during the second half of the fiscal given some of the green shoots due to a good monsoon and the onset of the festive season.

    “We are utilising this period to further strengthen the resilience and fundamentals of our business across all aspects. Our focused efforts and investments in content and user experience enhancements are displaying positive results. Going forward, we remain cautiously optimistic about the overall advertising sentiment gradually recovering through the second half of the fiscal year, which will further aid revenue growth.”

    While the underlying impact of the macroeconomic headwind across the industry continued to spill over in the second quarter of the fiscal year, Goenka emphasised, “That said, we have been able to moderately grow our advertising revenues sequentially in the second quarter on the back of our network share gain and focused efforts from our ad sales team.”

    He noted that the merger with Sony should be completed within this financial year. “As you would know, this is something that we are grappling with on a daily basis because the regulatory approval is required, and we can’t give you one final date. The number of days required for delisting or the company’s continued delisting, our expectation is it will be about five to six weeks.”

    Talking about sports being a newer growth opportunity. Goenka mentioned, “In addition to strengthening our current offerings, we are also consistently identifying new growth opportunities for sustained value creation. We took yet another firm step in this direction by sharpening our strategic vision to build the sports business for the company. The strategic licensing agreement with Disney Star makes Zee the exclusive TV destination for all ICC events starting in 2024. Going forward, all our investment decisions to make the sports segment a compelling value proposition for the company will continue to be taken with a prudent approach. Our energies remain focused on enhancing performance across platforms through compelling content offerings and delivering a robust user experience.”

    “For instance, our linear viewership share has increased QoQ, and our key markets like Hindi and Tamil are showcasing an improvement in their performance.” He explained that both in Tamil and Hindi, it is basically implementation and picking the right shows that have worked for it. “In Hindi, particularly, both fiction and non-fiction have done well for us. Tamil is still largely fiction-driven, and we are pretty confident that these will now continue to grow from here. They are stabilised at this level, and now we should see more growth coming. In Marathi, as I mentioned in previous calls to Abneesh, it was an implementation and team issue. A new team was formed about a quarter of a year ago. They are working on plans for getting the turnaround to happen in Marathi, too. I’m quite hopeful that in the next couple of quarters we’ll see something turn around there.”

    When asked about the reason for the NTO 2.0 delay, Goenka stated, “I don’t know what Trai was planning to do, but as I understand it from informal sources, they were trying to build consensus amongst all the stakeholders. As you will understand, building consensus in this industry among broadcasters, cable operators, and DPOs is not easy. I think that is largely the reason for the delay.”

    “My view is that they are finished with all the discussions and everything. We should see the NTO guidelines come out anytime now. As Rohit (ZEEL CFO Rohit Gupta) mentioned, the 28 of February is the deadline they have kept, but I’m quite confident that they will not miss this deadline,” he added further.

    Gupta noted that in the absence of a clear path ahead for NTO 2.0, the near-term outlook for subscription growth remains uncertain and muted. “We will continue to monitor NTO 2.0 guidelines and will be prepared to implement the same for improved long-term revenue outcomes.”

    When asked about the possibility of rethinking capital allocation towards movies given the disappointing performance of Hindi cinema, Goenka said that the company is rethinking or re-studying its movie portfolio strategy and maybe rejigging the capital allocation within that. “So, instead of spending a lot more on, let’s say, Hindi, for example, do we want to spend a little bit more on the regional languages, which are doing much better than the Hindi side, but will we completely look at reducing capital allocation to movies. No, that’s not in the thought process.”

    When asked if it makes sense to buy movie rights after their theatrical release, Goenka responded that, unfortunately, the industry does not work that way because these films are sold even during production. “If we were to wait for the film to be released in theatres and then take the chance of buying the film, there is a risk to that as well. So therefore, the industry is behaving in the manner that it does. Therefore, we have to participate and play the game as per the industry, and our view is that we would also like to continue to build and buy as little as possible. At times that’s not possible, but we are working on that strategy,” he concluded.

    Mumbai: Zee Enterprise Entertainment on Friday reported that second quarter revenue grew by 2.5 per cent to Rs 20,284 million compared to the same quarter in the previous fiscal. Q2 FY23 Ebitda (earnings before interest, taxes, depreciation, and amortisation) was down 28 per cent to Rs 2,973 million. It was impacted by slower growth in revenue and elevated investment in content, marketing, and technology. Ebitda margin was 14.7 per cent compared to 20.8 per cent for the same quarter in the previous fiscal. Profit after tax (PAT) fell by 58.3 per cent to Rs 1,128 million. Profit Before Tax fell by 50.7 per cent to $1,769 million.

    It said that a challenging macroeconomic environment continues to impact operating performance. Domestic ad revenues came in at Rs. 9,610 million, a decline of 7.7 per cent. Ad revenue growth was hampered by FTA withdrawal (Zee Anmol) and a difficult macroeconomic environment. Other sales and services revenue YoY is up 92 per cent aided by theatrical revenues and other syndication deals. Programming and technology costs increased due to higher theatrical releases, investments in Zee5 and higher programming hours in the linear business. Subscription revenue was up 4.2 per cent compared to the same quarter in the previous fiscal year.

    Q2 FY23 subscription revenues were aided by catch-up revenue from the previous quarter in the linear business and underlying organic growth in Zeee5 and music subscription revenues. Other sales and services revenue was up by 92 per cent aided by theatrical revenues and other syndication deals. The increase in marketing costs on a YoY basis is on account of new content launches and higher theatrical releases. Internationally, in Q2 FY23 ad revenue was Rs 518 million and subscription revenue was Rs 1,060 million.

    It stated that it would continue to invest in ZeeTV, Zee Marathi, Zee Tamil, and Movies in order to increase market share.

    Further, it strengthened its market position in Bangla, Odiya, Telugu and in the Kannada market. Q2 FY23 all-India TV network share was 16 per cent. QoQ it was up by 30 bps.

    Its OTT platform Zee5 reported Q2 revenues of Rs1,671 million, marking a 28 per cent growth over the same period in the previous fiscal. Zee5 global MAUs in Q2 FY23 were 112.4 million. This was an increase of 19 million over the same period in the previous fiscal year. The average watch time per month in Q2 FY23 was 198 minutes, an increase of 12 minutes over the same period in the previous fiscal. Over 66 shows and movies (including six originals) were released during the quarter.

    For Zee Studio, four Hindi and six regional movies were released during the quarter. Zeel also said that Zee Music Company is the second-largest music label with 89 million subscribers on YouTube.

    Mumbai: Indian media and entertainment industry veteran Ashish Golwalkar has left Sony Pictures Networks India (SPNI) after a seven year stint. A company spokesperson confirmed the development.

    He joined in December 2015 as senior VP and creative director of content before heading programming at SPNI’s flagship channel, SET, in April 2018. In his latest role, he was heading content at both SET and the digital business, which is SonyLIV.

    Prior to this, he had stints in WWIL, Zee Entertainment, and Disney-Star. He was with  ZEEl for over 11 years. He has over 20 years of experience spanning sales and marketing, content syndication, brand management, and content creation. He wrote and co-wrote multiple award-winning non-scripted formats in various genres across Zeel, Disney-FoxStar, and Sony Pictures. He has built content teams at Zeel and Star Plus.
