    Zee & Sony agree to sell three hindi channels to address CCI’s anti competition concerns

    Mumbai: Sony and Zee have agreed to sell three hindi channels voluntarily – Big Magic, Zee Action, and Zee Classic – in order to address potential anti-competitive concerns raised by their proposed mega-merger. The regulator made public its detailed 58-page order on Wednesday, more than three weeks after giving its approval for the transaction.

    According to the order, the two groups have agreed to divest Big Magic, a hindi general entertainment channel, as well as Zee Action and Zee Classic, both Hindi film channels.

    They voluntarily agreed to the modification to the proposed deal after CCI determined that the deal would have a significant adverse effect on competition.

    They presented their proposal to the Competition Commission of India (CCI), which approved the deal with conditions on 4 October.

    CCI announced on October 4 that it had approved the “merger of Zee Entertainment Enterprises Limited (ZEEL) and Bangla Entertainment Private Limited (BEPL) with Culver Max Entertainment Private Limited (CME), with certain modifications”.

    Previously, CME was known as Sony Pictures Networks India Pvt Ltd. (SPNI). In September 2021, ZEEL announced a non-binding term sheet with SPNI to merge their linear networks, digital assets, production operations, and programme libraries.

    Deals exceeding a certain threshold must be approved by CCI, which seeks to ensure fair competition in the marketplace.

    CCI announced on 4 October that it had cleared the proposed Zee-Sony merger deal, which was announced in September of last year.

    To ensure fair competition in the relevant markets, the regulator has also mandated that the purchaser meet a number of requirements before purchasing the three channels.

    One of the requirements is that the buyer not be “Star India Private Limited or Viacom18 Media Private Limited (including their respective affiliates)”.

    The purchaser should be completely independent of and unconnected to the resulting entity and its affiliates. According to the order, it also cannot be a former or current employee or director (or the spouse or child of such an employee or director).

    Among other things, the purchaser must have the financial resources, expertise, and incentive to keep and grow the divestment business as a viable and active competitor to the parties and/or the parties’ affiliates.

    “The purchaser should neither be likely to create any prima facie competition concerns, nor give rise to a risk that the implementation of the order will be delayed, and must, in particular, reasonably be expected to obtain all necessary approvals from the relevant regulatory authorities for the acquisition and operation of the divestment business,” the order said.

    The CCI further stated that the planned merger would be judged to have had a significant detrimental impact on competition in India if the parties did not comply with the voluntary adjustments presented.

    MUMBAI: Zee Action – India’s one-stop destination for action movies, will air the ultimate battle of the robots ‘Ra.One’ on Saturday, 14th September at 8pm. Directed by Anubhav Sinha, and featuring Shah Rukh Khan, Kareena Kapoor Khan, Arjun Rampal and debutant Armaan Verma in the lead, the movie saw King Khan in a suit-clad saviour avatar with neon blue contacts. The movie takes the classic good-versus-evil theme and gives it a spin with men in masks. Critically acclaimed and well received by the audience, Ra.One saw the international R&B singer Akon collaborate and create Chammak Challo – a song that made fans swoon over Kareena Kapoor Khan.  

    The film narrates the life of Shekhar Subramanium (Shah Rukh Khan), a gaming designer and expert who aims to be his son Prateek’s (Armaan Verma) hero. With this as his sole intention, he creates a three level game wherein the villain is more powerful than the protagonist and names the characters Ra.One and G.One respectively. While G.One is given Shekhar’s features, Ra.One is a shape-shifter. After the final tests are conducted and the game is launched, the impatient Prateek insists on playing the game immediately. Registered under the user ID ‘Lucifer’ he plays the game and reaches level 2. He is however interrupted thus leaving Ra.One agitated that a player has survived in the game so far. Hell-bent on killing him, he escapes from the game's virtual world and enters the real world, where he kills Shekhar and his team. Left with no alternative, the family is forced to bring out G.One from the virtual world to defeat Ra.One and protect them.

Directed by legendary filmmaker T. Rama Rao, the action-packed drama stars Mithun Chakraborty, Ajay Devgn and Rambhaa in the lead, along with Aditya Pancholi in a double role. The movie also stars veteran actors Sadashiv Amrapurkar, Tinnu Anand and Sujata Mehta in pivotal roles.     Jung revolves around two brothers ACP Arjun Saxena (Mithun Chakraborty) and defence lawyer Ajay Saxena (Ajay Devgn) who are at war with each other over a possibly innocent convict Ram (Aditya Pancholi). Ajay, a brilliant attorney has mastered the art of deceiving the opponent, due to existing loopholes in the law system. This does not go down well with Ajay’s elder brother Arjun and is the fundamental cause of the crack in their relationship.

    While Ajay believes his client Ram is innocent, the law-abiding Arjun believes otherwise and stands as a strong opposition to Ajay. The story heads towards an unexpected twist with the entry of Ram’s evil twin Billa. Meanwhile, Arjun's honesty has found him contending with a powerful new enemy, Chakradhari Choudhry (Sadashiv Amrapurkar), and the relationship of the two brothers only worsens as Ajay falls in love with Chakradhari's daughter Madhu (Rambhaa).

The action crime film revolves around a conman in urgent need of a lump sum amount of money and a policeman to catch him red handed. The next in line is Bal Brahmachari, a murder mystery starring Karisma Kapoor, Deepak Tijori and Puru Rajkumar on 21 March. On 22 March catch Mera Krodhstarring Ravi Teja in a lead role. The romantic action drama revolves around three close friends and a complicated love story with twists and turns.     MUMBAI: The new 24×7 Free-To-Air (FTA) Hindi movie channel Housefull Movies launched by Triumph Media Vision Private Limited, has assigned its sales responsibilities to B4U Media Ventures.

     

    The channel has achieved almost four per cent viewership share in the northern market within a span of eight weeks since its launch and competes with the likes of Zee Classic, Zee Action and UTV Action.

     

    Housefull Movies MD Harish Patil said, “Being a new player with a content mix similar to the likes of second line Hindi movie channels and strong distribution, we aim to place Housefull movies as a full on filmipanti movie channel in the mind of the viewers and advertisers.
