    MUMBAI: Direct to home (DTH) operator Videocon d2h has become the first Indian media company to ring the opening bell at Nasdaq stock market in New York on 7 April.

     

    The DTH operator has with this become the first Indian private company since 2000 to list overseas, issuing ADR worth $325 million to the public.

     

    To mark the celebrations, member of parliament, India Rajkumar Dhoot and Videocon d2h managing director Saurabh Dhoot visited the Nasdaq market site at Times Square and rang the symbolic opening bell.

     

    At an approx market cap of $1.15 billion, Videocon d2h has become the most valued Indian company at Nasdaq.

    MUMBAI: The direct to home (DTH) arm of Videocon group, Videocon d2h has decided to withdraw its Rs 700 crore Initial Public Offer (IPO) proposal since the company is looking to start the process afresh.

     

    In September 2014, the company had decided to file draft offer documents with the Securities and Exchange Board of India (SEBI). However, Videocon d2h, through its lead banker Axis Capital, withdrew the documents on 27 March.

     

    Meanwhile, Videocon d2h executive director Saurabh Dhoot along with Silver Eagle chairman and CEO Harry Sloan will visit the Nasdaq Market Site in Times Square and will ring the Opening Bell 7 April at 9:15 am to 9:30 am ET (6:45 pm IST).

     

    The operator had completed its initial listing on the Nasdaq Global Select Market through a business combination transaction with Silver Eagle Acquisition Corp, which is founded by Harry Sloan and Jeff Sagansky, pursuant to which Silver Eagle contributed approximately $273.3 million to Videocon d2h in exchange for equity shares of the operator which was represented by American Depositary Shares (ADSs), which were distributed to Silver Eagle’s stockholders. Public trading of the Videocon d2h ADSs on Nasdaq under the ticker ‘VDTH’ commenced at the opening of trading on 1 April this year.

     

    On the day of the opening, the approximately $37.75 million Videocon d2h ADSs issued to Silver Eagle stockholders were valued at approximately $453 million based on the opening price of $12 per ADS on Nasdaq. Silver Eagle’s capital infusion in the operator represents one of the largest platform investment deals in Indian media by US investors.

     

    Sloan based on reports had stated that US investor interest in the transaction has been strong as it affords US investors the opportunity to participate early in the US listing of Videocon d2h. “It is the fastest growing DTH Pay-TV operator in India and the fastest growing pay TV market in the world. Beyond this very significant organic growth, we will be exploring numerous possibilities for the company to expand as a force in India’s developing media business,” Sloan had remarked.

     

    The regulator SEBI in February, had decided to keep the processing of the company’s offer document in “abeyance” following a request made by Videocon d2h in this regard. The company was looking at garnering Rs 50 crore through a pre-IPO placement of its shares to institutional investors, according to media reports. The funds were to be used for acquiring set-top boxes (STBs), outdoor units and accessories thereof, repayment/prepayment of certain indebtedness and general corporate purposes. In December 2012 too it had filed draft documents under the name ‘Bharat Business Channel’ with Sebi to raise Rs 700 crore through an IPO. But the company did not launch the same due to bad market conditions.

    MUMBAI: Videocon d2h has closed the IPO process and is getting listed on NASDAQ, issuing American Depositary Receipt (ADR) worth $325 million to the public with current market cap of $1.15 billion.

     

    Videocon d2h IPO has created several milestones by becoming the first Indian private company since the year 2000 to list overseas, largest Indian IPO in US since 2007 and first sizeable Indian listing on US exchanges since 2010, clearly indicating the renewed global focus on India. The IPO has caught the attention of Top US funds with several multi billion dollar funds investing into the IPO.

     

    At expected market cap of $1.15 billion, Videocon d2h will become the most valued Indian company on Nasdaq.

    MUMBAI: Direct to home (DTH) platform Videocon d2h, the first in India to have had a preview of 4K Ultra HD DTH service in July last year, has taken a step further as it launched a 24 hour 4K Ultra HD multi genre channel on 26 January, 2015.

     

    Videocon Group director Saurabh Dhoot said that the company is bringing the path breaking technology into Indian homes using its 4K Ultra HD set top box and the channel. “We are the first in the country to provide this experience,” he said.

     

    When queried by Indiantelevision.com as to what the channel feed will contain, Videocon d2h chief executive officer Anil Khera said, “We are planning to showcase Video on Demand (VOD), lifestyle and travel content, sports, infotainment, concerts and Hollywood movies.”

     

    Khera preferred calling the channel as a 4K content pipe wherein 4K content available from international broadcasters will be telecast. “The pipe is not dedicated to any one channel. It is a pipe that also consumes a lot of bandwidth,” he added.

     

    To begin with, as part of its contract with Star India, the DTH platform will broadcast the upcoming ICC Cricket World Cup matches, which will be produced with the new technology. “We are in talks with producers who are the content providers from India and abroad,” informed Khera. The channel will be uplinked from the company’s Greater Noida facility.

     

    The 4K ultra HD set top box redefines TV viewing experience delivering four times the picture resolution of Full HD. It has 27 times the normal Standard Definition (SD) picture quality. It provides a resolution of more than eight million pixels, resulting in better sharpness and clarity.

     

    The package also includes a next generation User Interface (UI) powered by technology company CISCO to easily access content. A ‘super speed’ USB allows subscribers to be future ready to play pause and rewind the live stream of 4K content.

     

    In lay man’s terms, a 4K channel is equivalent to four HD channels put side by side and two HD on top of the four, which basically makes it an image with four times the resolution of HD.

     

    When asked whether the new edge technology will be promoted through live events during the Cricket World Cup, Khera said, “We are in talks with the broadcaster, but no final decision has been taken on that as yet.”

    MUMBAI: Direct to home (DTH) operator Videocon d2h has joined hands with MStar Semiconductor, wherein the latter will provide its high efficiency video codec (HEVC) H.265 system-on-chip (SoC) to the former’s HD set top boxes (STBs).

     

    MStar Semiconductor, which is a semiconductor company for TV, STB, display and digital home solutions, has successfully implemented HEVC technology in the HD solution, which fits properly to save the bandwidth requirement with high definition picture quality. The operators and STB OEMs can reduce their development costs and time to market to meet the Indian market demands with the MStar HEVC-capable set-top box SoC solution.

     

    Videocon d2h director Saurabh Dhoot said, “The HEVC technology ensures that our consumers get the most advanced and evolved TV viewing experience.     DTH licensing recommendations: TRAI restricts vertically integrated broadcasters from owning more than one DPO

    MUMBAI: The Telecom Regulatory Authority of India (TRAI) has come out with some rules and regulations regarding a host of issues including crucial ones such as DTH licences and cross holding. In a recommendation paper that it gave out, it has said that certain restrictions be placed on vertically and horizontally integrated broadcasters and distribution platform operators (DPOs).

     

    A vertically integrated broadcaster will be permitted to control only one DPO while a vertically integrated DPO will be restricted from controlling any other DPO of other category in the relevant market. For this it has defined the meaning of cross holding and control to be as: ‘a broadcaster includes the broadcaster itself, its subsidiary companies /associate companies/ companies of its relatives, its holding company and subsidiary companies /associate companies/ companies of its relatives of its holding company and any other broadcaster in its control. Similarly, a DPO includes the DPO itself, its subsidiary companies /associate companies/ companies of its relatives, its holding company and subsidiary companies /associate companies/ companies of its relatives of its holding company and any other DPO in its control.’

     

    In its paper, TRAI states that ‘In order to ensure orderly growth of the broadcasting and distribution sectors and to avoid compromises or limitations on competition, certain cross-holding restrictions may be required to be put in place. Accordingly, the Authority recommends uniformity in the policy of cross holding /control between broadcasters and DPOs and amongst DPOs in the broadcasting and distribution sector.’

     

    Depending on the shareholding patterns as prescribed by TRAI, companies will have to restructure their operations within one year. Industry sources say that the only two probable companies that are likely to be affected are the Zee group with Siti Cable and Dish TV and the Sun group with Sumangli Cable and Sun Direct.

     

    However TRAI also states that there can’t be cross holding amongst DPOs of different categories. The paper states, ‘there cannot be any cross holding/control between an MSO (A), MSO cum HITS operator (B) or a HITS operator (C) and a DTH operator (D), while there could be controlling stakes amongst A, B and C subject to market share restrictions, as specified from time to time.’

     

    DPOs have been given set parameters for market share/dominance. For DTH operators, the relevant market would be the entire country while for an MSO it is the state. The market share of a DPO would be the number of active subscribers of that DPO as a percentage of the total number of active subscribers of that category of DPOs.

     

    On the DTH side, most operators are glad with the outcome of the paper that will now go through the Ministry of Information and Broadcasting (MIB). Says DTH Operators Association of India president and Tata Sky CEO Harit Nagpal, “We are glad with the outcome. There were two main issues that needed to be addressed: continuity of DTH licences and licence fee. The paper has made both amply clear, the migration process included. When the licence fee of 10 per cent was introduced there wasn’t any additional service and entertainment tax on it. We had been asking for relief on the licence fee to be calculated on adjusted gross revenue rather than gross revenue.”

     

    The period of DTH licence has been extended from the current 10 years to 20 years while the one time entry fee has been retained at Rs 10 crore. The big relief is the reduction of licence fee from 10 per cent of gross revenue (GR) to 8 per cent of adjusted gross revenue (AGR). An industry source said that the DTH industry earns anywhere between Rs 8000 crore to Rs 9000 crore annually, pegging the savings that will come due to the 2 per cent relief at nearly Rs 200 crore. “The reprieve on overall taxation is the highlight point. Although industry would have liked it to be 6 per cent of AGR, this isn’t bad at all,” said the source.

     

    Speaking on the new guidelines, Videocon director Saurabh Dhoot says, “This is a step in the direction towards encouraging industry riddled with high taxation and double taxation. However, content cost not included in deduction remains a concern area.”

     

    Supporting the extension of DTH licence, TRAI states that though the guidelines are silent on the provision of extension, it could not be its intent to disallow them from continuing their business post 10 years of existence. ‘Starting a DTH business entails a huge investment of resources. It would, therefore, be a reasonable expectation on the part of DTH licensees that, on the expiry of the initial 10 year licence, they would be eligible to apply for issue of a new licence, so that they could continue their business,’ it states.

     

    The new DTH licensing regime has been brought to bring fair degree of stability in the sector, to proper overall growth of the sector as it will create a conducive environment for investment from strategic investors. This will in turn spur innovation in terms of adoption of better technology and services.

     

    The DTH Operators Association had requested TRAI to consider initial licence of 20 years which it has agreed to give on the lines of Telecom licence while its second request of a 20 year extension has been kept to 10 years. ‘The Authority also recommends that the renewal shall be on the terms and conditions, including renewal fee, specified by the Licensor (MIB), in consultation with the TRAI.’

     

     AGR is calculated by excluding service tax, entertainment tax and sales tax/VAT paid to the government from the GR. The annual licence fee shall be subject to a minimum of 10 per cent of the entry fee while the licence should have a provision that prescribes that the licensor has the right to modify the licence fee as a percentage of AGR any time during the currency of the agreement.

     

    The earlier rule of providing a bank guarantee (BG) of Rs 40 crore has been changed. Licencees will have to furnish a BG for an amount that is equal to payable licence fee for two quarters and other dues not otherwise securitised.  The BG has to be valid for a year and renewed on a year on year basis in a way that it will be valid for the entire licence period. New entrants will have to give a fixed BG of Rs 5 crore for first two quarters and then continue in the manner prescribed above.

     

    Those DTH operators that are serving their time in the existing regime can migrate to the new regime any time during its current licence period. Before migrating, it has to however clear dues and fulfill obligations under the old regime as well as clear legal cases. The ones who want to migrate will have to pay the entry fee again for a new licence but a rebate, commensurate to the remaining licence period may be granted to them.

     

    The quantum of migration fee will be as follows:

     

    Migration fee = [Entry fee in the new DTH licensing regime – (Entry fee under existing License/existing license period i.e. 10 years) x (No. Of years remaining in the existing regime at the time of migration)]. In this formulation part of a year is not to be counted.

     

    Currently, STB interoperability isn’t possible because of the different technologies being adopted by the operators due to their entering the market at different times. Therefore, the bureau of Indian standards (BIS) has been asked to regularly keep updating the standing of STB technology, in consultation with TRAI. A tariff order for DTH was recommended by TRAI last year that allowed an easy exit option to subscribers, ensuring availability of consumer–premises-equipment (CPE – that primarily consists of STB and Dish antenna) at reasonable prices, easy to understand terms and conditions and at the same time, protecting the interests of the service providers. This order is sub-judice in TDSAT.

    BALI: He is young, but the young Dhoot scion’s debut on the Asian stage at the Asia Pacific Operators Summit (APOS) in Bali was pretty impressive by most yardsticks. Dhoot dismissed any suggestions about DTH operators getting together to bring down content costs. “We at Videocon d2h have very good relations with broadcasters. We don’t have a single court case against any of them; we don’t have any contentious disagreements over packages. And we don’t want to get into any complex arrangements,” he said.

     

    He revealed that the newest DTH player has about 11 million gross subs out of which about seven million plus are active.  “It’s all about how everything is being executed,” he said. “And we are doing it right. The top two or three players have almost 70-80 per cent of active subs. India is a land of opportunities; there is space for everyone even for a FreeDish.”

     

    The next phase for the DTH players is going to be about HD, he emphasised.  “We embraced HD from day one.  HD is a game changer in our plan. HD sub base will treble—that will make a great difference to ARPUs.”

     

    Additionally, he said that packaging of products such as kid’s packs will make a difference. “We need to work with our broadcast partners to work out new packages,” he highlighted.

     

    He revealed that the company was generating cash from operations, excluding finance costs, depreciation and amortization.

     

    One of the big impediments to growth of the DTH business is regulatory is Saurabh Dhoot’s view. “The 30 per cent entertainment tax in some states almost equals to the tax on alcohol and cigarettes. We as an industry need to come together to raise our voice. It is archaic and needs to be changed,” he concluded.

    MUMBAI: Videocon d2h has launched three new subscription packages in the mid level price segment targeted at sports lovers.

    The three new packs launched are: ‘Gold Maxi’ which is priced at Rs 260 per month  and will consist of 328 channels and services including sports channels like Star Sports 2, Star Sports 3, Hindi general entertainment channels (GECs) like Star Plus, Colors, Zee TV, Sony etc,  Hindi movies channel like Max, Zee Cinema etc, Hindi news channels including  Aaj Tak, NDTV India, IBN 7, India TV and regional language channels comprising all Marathi, Bengali, Odia, Punjabi, Assamese and Gujarati channels and services.

     

    The second pack launched is the ‘South Silver Maxi’ which will cost Rs 205 per month. The pack consists of 308 channels and services which includes sports channels like Star Sports 2, Star Sports 3 and all Tamil, Telugu, Malayalam, Kannada language channels. The third is the ‘South Gold Maxi’ at Rs 270 per month.     MUMBAI: In a move to strengthen its bouquet of offerings, direct to home (DTH) operator Videocon d2h has added Star Sports 2 on its platform.

     

    On an a la carte basis, Videocon d2h has priced Star Sports 2 at Rs 40 per month.
