JSW Paints to acquire 74.76 per cent stake in Akzo Nobel India in bold Rs 8986 crore move

MUMBAI: JSW Paints dipped its brush into the big leagues on Thursday, signing definitive agreements to acquire up to 74.76 per cent stake in Akzo Nobel India Limited (ANIL) for a maximum consideration of Rs 8986 crore. The all-cash deal, one of the sector’s most significant in recent years, marks JSW Paints’ ambitious leap toward top-tier status in India’s fast-expanding paints and coatings market.

The acquisition is contingent upon regulatory approval from the Competition Commission of India and completion of a mandatory open offer to ANIL’s public shareholders. Should all go as planned, the JSW Group’s paints arm will become a heavyweight challenger to incumbents in a market long dominated by a few legacy players.

ANIL, the Indian arm of Netherlands-based Akzo Nobel, brings with it marquee brands like Dulux, International and Sikkens, and a strong decorative and industrial paints portfolio. In return, JSW Paints, part of the $23 billion JSW Group, gains reach, muscle and a serious splash of brand equity.

JSW Paints managing director Parth Jindal said, “Paints & Coatings is one of India’s fastest growing sectors and JSW Paints is amongst the fastest growing paint companies. Akzo Nobel India is home to some of the most globally renowned brands of paints & coatings like Dulux, International and Sikkens. We are excited to welcome them to the JSW family. Together, along with the Akzo Nobel India family – employees, customers and partners – we aspire to build the paint company of the future. With the Magic of Dulux and Thoughtfulness of JSW Paints, we look forward to delighting customers and building lasting value for our stakeholders”.

Akzonobel CEO Greg Poux-Guillaume added, “This transaction is a significant milestone in the execution of our strategy. Akzonobel India has been a consistently strong performer, and we are proud of the brand and talent that have made it a success. With JSW, we are confident the business is in the hands of a long-term partner with deep local expertise and strong ambitions in the sector”.

The acquisition underscores a broader strategy by JSW Paints to cement itself as a dominant force in a market projected to clock double-digit growth, driven by rising urbanisation, housing demand, and premiumisation. It also reflects increasing consolidation in the Indian paints sector, where the battle for shelf space and mindshare has intensified.

Morgan Stanley served as exclusive financial adviser to JSW Paints, with Khaitan & Co. acting as legal counsel and Deloitte overseeing financial and tax due diligence.

  • JSW launches campaign celebrating Indian athletes

JSW launches campaign celebrating Indian athletes

Mumbai: With the Paris 2024 Olympic Games around the corner, JSW Group has reignited its long-running and hugely successful campaign – Rukna Nahi Hai – with the launch of a brand-new film that delves into the mindset of the athletes who will represent India on the biggest sporting stage in less than two weeks from now.

Launched by India’s golden boy and reigning Olympic champion Neeraj Chopra, the campaign includes a longer version for digital platforms and a shorter TV commercial to be broadcast on popular channels before and during the games.

JSW who have pioneered the Olympic movement in India over the last decade, have always run compelling campaigns around the games, and the build-up to Paris has been no different. The film, while highlighting the preparation of the athletes, also explores the emotional aftermath of failing to win at the games. It portrays the public perception of an athlete’s performance—celebration and fame if they win, or embarrassment and criticism if they lose. And in the process, emphasizes that athletes should remain unfazed by either outcome, quickly returning to practice and preparing for their next challenge.

Simple, yet thought-provoking, the film underscores the athletes’ unwavering determination and refusal to stop, come what may.

Conceptualised by Ogilvy and directed by Shashanka Chaturvedi from Good Morning Films, it features a mix of well-known and emerging athletes from various Olympic disciplines, including Neeraj Chopra, Nishant Dev, Preeti Pawar, Manu Bhaker, Manika Batra, and Muhammed Anas, among others. Celebrity film star Ajay Devgn has lent his voice to the film.

The campaign also celebrates JSW’s association with the Indian Olympic Association for the Paris Olympics 2024.

Sharing his views on the campaign, and the film, JSW Sports founder Parth Jindal said, “Rukna Nahi Hai as a JSW Group campaign, has now entered its third Olympic Games, and it has grown from being a slogan to now being an emotion, a belief that Team India and all of us will take to Paris. The film captures the essence of the athletes’ relentless pursuit, perfectly. For us, they are already champions. I am certain this film will inspire the contingent in Paris, and every single Indian who will be backing the athletes throughout the journey of the Games.”

Speaking on the launch of the TVC, Ogilvy chief creative officer Sukesh Nayak said, “The concept of #RuknaNahiHai is compelling and inspiring. We are proud to be a part of this journey with JSW and our athletes from day one. This campaign brings alive the true essence of rukna nahi hai, by portraying the mindset of our athletes. For whom victory and setbacks are chapters and not the end of story. It honors their relentless pursuit which makes our country shines bright.”

In addition to the film, the campaign will be amplified through a comprehensive 360-degree media plan, leveraging TV, Digital, OTT, Digital innovations, OOH, on-ground activations, and print.

JSW Inspire, launched by JSW Group in 2022, is an athleisure brand that sponsored Team India at the 2022 Commonwealth Games and 2023 Asian Games. • JSW Paints ropes in Alia Bhatt and Ayushmann Khurrana as brand ambassadors

JSW Paints ropes in Alia Bhatt and Ayushmann Khurrana as brand ambassadors

MUMBAI: JSW Paints has signed Bollywood actors Alia Bhatt and Ayushmann Khurrana as its brand ambassadors. The company is set to release its first-ever marketing campaign featuring both these Bollywood actors. The campaign, ‘Har Rang Har Kisi Ka’, celebrates the diverse colours of India and encourages Indians to #EmbraceEveryColour. The integrated marketing campaign will be rolled out across the company’s current markets in the south and west India starting this month and will be aired during IPL. It also features strong on-ground connections with consumers, channel partners, and influencers.

This campaign brings to life JSW Paints’ unique positioning of ‘Think Beautiful’. For years, paint companies in India have been charging varied prices for different colours. This makes certain colours inaccessible to the masses. JSW Paints’ ‘Any Colour One Price' proposition that offers 1808 colours at the same price is an industry-first offering that has disrupted the entire paints market. This unique proposition will help restore the consumer’s freedom of choice in colour.

JSW Paints MD Parth Jindal said, “At JSW Paints, we believe that being thoughtful is beautiful and our #EmbraceEveryColour campaign embodies this spirit. Our new campaign showcases India we all grew up in and live in today; a land resplendent with a multitude of colours. From the food we eat to the festivals we celebrate, to the clothes we wear, it is these very colours that make everything Indian, so beautiful. Making colours accessible to all through our “Any Colour One Price” approach is our tribute to every Indian’s love for colour. In order to take this campaign to an India that is getting younger and better every day, we wanted thoughtful ambassadors and believe that Alia Bhatt and Ayushmann Khurrana are perfectly placed to take our message of unity and togetherness forward.”

Bollywood actor Alia Bhatt said, “I am delighted to be associated with JSW Paints and absolutely love the thought behind the #EmbraceEveryColour campaign as it highlights the underlying message of India’s unity in diversity. I always gravitate towards cinema that has at its core an inspiring and thoughtful message for the viewers and that also reflects in the kind of work I have done. I see these values mirrored in the way JSW Paints operates its business. I look forward to a long-term association with the brand.”

Bollywood star Ayushmann Khurrana added, “I am really happy to be part of the JSW Paints family. The core of the new campaign speaks to my heart as I passionately believe in the underlying theme of #EmbraceEveryColour, which is all about unity and inclusivity. It is a beautiful concept and I am glad to be part of this. I look forward to an interesting journey with the brand ahead.”

JSW Paints was launched in early 2019 as a greenfield venture-backed by cutting-edge technology, automation and scale that is comparable to leading players in the sector. The company manufactures and markets both industrial coatings and decorative paints wherein it offers a range of family-friendly water-based paints for interior and exterior walls, wood and metal surfaces in Homes. The company’s biggest value proposition is its effort to usher transparency in pricing through 'Any Colour One Price' that enables consumers to choose colours confidently for their homes.

JSW Paints Joint MD &  CEO  A S Sundaresan said, “Colour is what consumers most want from paints. This is the reason we have put colours at the heart of our maiden campaign and our brand Ambassadors Alia and Ayushmann have given it a beautiful soul. We are celebrating a unified India’s diverse colours with our  ‘Any Colour One Price’ strategy, the first and only paint company to do this, offering consumers complete freedom to choose any colour. Our family-friendly only water-based paints range is focused on creating the most satisfying experiences for customers. We are sure that the #EmbraceEveryColour campaign will be liked by our consumers across the country.”

Nitesh Tiwari, who directed the TVC film said, “This film has a very pertinent message in today's India. It appeals to the young and modern India that stands for what they believe in, and Alia and Ayushmann have done a marvellous job portraying the characters that manifest this message. I am glad to have been part of JSW Paints' journey of thoughtfulness.”

Meanwhile, TBWAIndia CEO Govind Pandey said “Colours have a special significance in India. It is a country of rich diversity that is celebrated by the language of a million colours. But over time, we have attached parochial meaning to these colours, putting them into the boxes of caste, creed, gender and emotion. This campaign aims to liberate colours from the narrow boxes that society has built around them. It tells the story of an India where all colours are meant for everyone. And what better duo than Alia Bhatt and Ayushmann Khurrana to carry this thoughtful message.”

TBWAIndia Managing Partner (Creative) Parixit Bhattacharya said, “True beauty lies in the way we look at the world. This campaign makes the painting experience more than just about adding colors to homes. It’s about being able to embrace every colour by looking beyond labels. It puts an end to the divide and makes colours truly for all, one wall at a time.”
