    Maran brothers’ feud ends with a Rs 800 crore handshake: media reports

    MUMBAI: According to news daily Indian Express, a bitter family dispute between the Maran brothers, Kalanithi and Dayanidhi, has been resolved following the direct intervention of Tamil Nadu chief minister M K Stalin. The settlement, which saw DMK MP Dayanidhi Maran reportedly receive around Rs 800 crore in cash and nearly an acre of prime land in Chennai’s exclusive Boat Club area valued at an estimated Rs 100 crore, brings an end to a row that had rattled investor confidence and threatened the DMK’s image.

    The feud boiled over in early June when Dayanidhi issued a legal notice to his elder brother Kalanithi, alleging fraudulent share allotments and corporate misgovernance at Sun TV Network in the early 2000s. Dayanidhi had initially sought Rs 1,500 crore, while Kalanithi was only willing to offer Rs 500 crore.

    Stalin, who has previously mediated within the Maran family, initially attempted to resolve the matter himself. When this failed, he enlisted the help of Dravidar Kazhagam president K Veeramani and senior journalist N Ram, both of whom have close ties to the family. Sources indicate that three rounds of talks, including two in person and one via video conference, ultimately led to the agreement.

    Dayanidhi’s legal notice specifically claimed that in 2003, while their father Murasoli Maran was in a coma, Kalanithi allegedly allotted himself 1.2 million equity shares at a nominal Rs 10 per share, consolidating over 60 per cent of Sun TV. This, the notice alleged, diluted the stakes of the Maran and M Karunanidhi families from 50 per cent each to 20 per cent.

    Sun TV, in a stock exchange filing on June 20, vehemently denied the allegations, calling them “incorrect, misleading, speculative, defamatory and not supported by facts or law,” and stated that all transactions were legally vetted prior to the company’s public listing.

    Despite Sun TV’s rebuttal, the controversy sent tremors through the markets, causing its share price to drop over 5 per cent in intra-day trading, and an overall decline of about 8 per cent from recent highs, unsettling investors.

    A top source within the DMK first family confirmed that Stalin was visibly displeased by the public nature of the dispute, especially with assembly elections looming next year. His decision to bring in the 91-year-old Veeramani, an elder statesman of Tamil Nadu politics, was due to his respected stature and lack of financial interest in Sun TV.

    N Ram, a relative of the Maran family and former editor of The Hindu, also played a crucial role, lending credibility and balance to the mediation given his standing in the media world and ideological alignment with the DMK.

    “First, Veeramani phoned the Maran family. After that the others also joined, and three rounds of talks were held between the last week of June and the first week of July,” a source revealed, adding, “Both parties were asked to refrain from speaking to the media and were urged to settle and move on.”

    The talks underscored the potential damage to the DMK’s and Maran family’s reputation, as well as the high costs and protracted nature of continued litigation.

    The late Murasoli Maran, a nephew of Karunanidhi and cousin to Stalin, was instrumental in establishing the DMK’s presence in Delhi and served as a cabinet minister in multiple central governments. His presence as family patriarch had previously maintained peace between Kalanithi, who built the Sun TV empire, and Dayanidhi, who leveraged his father’s legacy to become the union minister for telecom.

    The first major rift, the Indian Express reported,  occurred in 2007 when the Maran family’s newspaper, Dinakaran, published a poll favouring Stalin as Karunanidhi’s political heir over M Alagiri, leading to violent reactions from Alagiri’s supporters. While tensions have simmered since, the financial dimension of this latest dispute made it one of the most severe.

    “This whole thing could have gone the other way,” a senior source commented. “But Stalin, Veeramani, and Ram made it clear: let this end now, before it weakens everyone.”

     Indian Express failed to get any comments from N. Ram, the Marans or the chief minister.

    Network18 and TV18 are now firmly in the grip of Reliance Industries and Disney Star. NDTV, long a bastion of editorial independence, is under the control of the Adani Group. Its founders — Roy and Radhika — have exited stage left, their names now relics of an era that once prized journalistic idealism.

    Zee, once the crown jewel of Indian broadcasting, is barely hanging on. The Chandra family — once majority owners — now clutch a meagre four-odd  per cent stake. It’s a dramatic fall from grace fuelled by Subhash Chandra’s ill-advised adventures into infrastructure. To bankroll these forays, he pledged Zee shares, opening the gates to lenders who came calling. The result: a sharp dilution of promoter ownership and a credibility crisis. The failed merger with Sony’s Indian arm, Culver Max Entertainment, only added insult to injury — scuppered reportedly due to concerns about Zee’s financial hygiene. A company once viewed as squeaky clean had its reputation muddied.

    Sun TV, the fourth of the old guard, is also showing cracks. Helmed with iron discipline by Kalanithi Maran, it long stood as a symbol of stability. But the facade is now under strain. A family feud has burst into public view, with brother Dayanidhi Maran accusing Kala of wresting control of Sun TV through backdoor share acquisitions. Legal notices have flown, regulatory filings issued, and the company insists all was above board. Still, some reputational damage has been done — and the gossip mills are churning.

    The result is a media map being redrawn in real time. Where once these founders shaped the narrative, today they’re either sidelined, embattled, or ousted. And as corporate titans and conglomerates take over, the question is whether passion-led media can survive in an era of balance sheets, bottom lines, and boardroom power plays.

    India’s media isn’t short on ambition. But nostalgia alone won’t stop the sun from setting on yesterday’s giants.

    Sun TV veteran Kavitha Jaubin quits

    MUMBAI: For over 15 years, she was one of many bright lights at the Kalanithi Maran-owned Sun TV network. But for now, content & brand integration head the Chennai-based Kavitha Jaubin has decided to move on.

    Jaubin who put in her papers some time back at Sun TV spent her last day at the broadcaster on 14 August just a day before India’s Independence Day. Apparently, personal family exigencies forced her to take that decision. 

    She took up many challenging assignments at Sun TV. She was the head of Sun Life (the network’s second GEC), a position she held for nine years, prior to taking over the brand role in 2020. Between 2007 and 2011, she wore the hat of cluster head – content acquisition and kids channels – Chutti TV, Chintu TV, Kochu TV and Khushi TV.  

    A keen buyer of animation content, Jaubin was a speaker at many international forums. A keen creative professional, she spent quite a few years earlier on in her career as a writer and director at Disney+Star India’s Star Vijay channel in Chennai. 

    Jaubin, who is taking some time off currently, did not comment on her quitting Sun and was unwilling to reveal where she was headed.

    BENGALURU: Kalanathi Maran’s regional telecaster and FM radio broadcaster Sun Tv Network (Sun TV) reported 44.3 percent y-o-y decrease in consolidated operating revenue for the quarter ended 30 June 2020 (Q1 2021, period or quarter under review) as compared to the corresponding quarter of the previous year Q1 2020. Total Income (operating revenue plus other income) during the quarter declined 38.2 percent y-o-y as compared to Q1 2020. Profit after tax (PAT) declined 33.5 percent y-o-y in Q1 2021 as compared to the year ago quarter. Even the operating profit (EBITDA) for Q1 2021 fell 41.1 percent y-o-y in Q1 2021 as compared to Q1 2020. However, EBITDA margin of operating revenue for Q1 2021 was 66.9 percent as compared to 62.6 percent in Q1 2020. Sun TV is one of the largest networks in the country that has channels across the four major South Indian languages. All the numbers in this reported are consolidated unless stated otherwise.

    The company reported revenue of Rs 611.51 crore and Rs 1,110.04 crore in Q1 2021 and Q1 2020 respectively, PAT for Q1 2021 was Rs 257.11 crore and for Q1 2020 it was Rs 386.81 crore. EBITDA in Q1 2021 was Rs 409.11 crore as compared to Rs 694.95 crore in the corresponding year ago quarter. The company attributes the fall in revenue to the absence of IPL which normally happens during the first quarter and also absence of movie distribution in particular during the COVID2019 quarter. In the corresponding year ago quarter, Sun TV had reported revenue of Rs 244.39 crores and corresponding costs of Rs 138.40 crores for its IPL franchisee SunRisers Hyderabad.

    Sun TV has mentioned in its earnings release for Q1 2021 that subscription revenue during the quarter under review increased 17.6 percent y-o-y to Rs 442.25 crore from Rs 375.95 crore in Q1 2020.

    BENGALURU: Kalanathi Maran’s regional telecaster and FM radio broadcaster Sun Tv Network (Sun TV) reported 6.3 percent decrease in consolidated operating revenue for FY 2020 as compared to the previous year FY 2019. The company reported that subscription revenues were up 18.3 percent y-o-y at Rs 1,562.23 crore for the year ended 31 March 2020 (FY 2020, period or year under review) as compared to the previous yeara. Sun TV revealed that it had incurred a 6.3 percent decline in advertising revenue for the year under review at Rs 1,336.91 crore from Rs 1,426.67 crore in FY 2019.

    Sun TV reported 3.3 percent decline in consolidated profit after taxes or PAT to Rs 1,385.49 crore for FY 2020 as compared to Rs 1,432.37 crore for FY 2019.  Sun TV is one of the largest networks in the country that has channels across the four major South Indian languages.

    Consolidated operating revenue for the period was Rs 3,519.85 crore as compared to Rs 3,782.54 crore for FY 2019. Total income (revenue) for FY 2020 reduced 5.7 percent to Rs 3,780.50 crore as compared to Rs 4,009.65 crore in FY 2019.

    Calculated simple consolidated EBITDA for FY 2020 at Rs 2,275.92 crore (60.2 percent of Operating Revenue) was 12.7 percent lower than the Rs 2,606.68 crore (68.9 percent of Operating Revenue) in the previous year

    BENGALURU: Kalanathi Maran’s regional telecaster and FM radio broadcaster Sun Tv Network (Sun TV) reported that subscription revenues was up 18  percent y-o-y at Rs 411.85 crore for the quarter ended 31 December 2019 (Q3 2020, period or quarter under review) as compared to the corresponding year ago quarter (Q3 2019). The company reported consolidated profit after taxes or PAT growth at 7.2 percent to Rs 384.69 crore for Q3 2020 as compared to Rs 359.01 crore for Q3 2019. Standalone PAT increased 6.3 percent y-o-y to Rs 373.45 crore from Rs 351.33 crore.

    The board of directors of the company has announced the third interim dividend in the year of Rs 7.50 per share (150 percent) on a face value of Rs 5 per share.

    Sun Tv reported 9.7 percent y-o-y decrease in consolidated operating revenue for Q3 2020 as compared to the corresponding year ago quarter Q3 2019. Total income (revenue) for Q3 2020 reduced 67.9 percent y-o-y to Rs 914.71 crore as compared to Rs 992.58 crore in Q3 2019.

    Standalone operating revenue declined 9.9 percent to Rs 814.97 crore in Q3 2020 to Rs 904.45 crore in Q3 2019. Standalone Total income (revenue) for the period declined 8.1 percent y-o-y to Rs 878.56 crore from Rs 956.04 crore.

    Calculated simple consolidated EBITDA for Q3 2020 at Rs 595.27 crore was 12.3 percent lower y-o-y than the Rs  678.80 crore. Simple standalone EBITDA for the period declined 13 percent y-o-y to Rs 580.36 crore from Rs 667.20 crore in Q3 2019.

    Standalone Operating expense in Q3 2020 declined 9.9 percent y-o-y to Rs 110.06 crore from Rs 122.77 crore in the corresponding quarter of the previous year. Standalone  Employee benefits expense in Q3 2020 decline 1.1 percent y-o-y to Rs 70.95 crore as compared to Rs 71.71 crore in Q3 2019. Standalone Other expenses in the Q3 2020 increased 24.1 percent y-o-y to Rs 53.06 crore as compared to Rs 42.77 crore  in Q3 2020.

    SunRisers Hyderabad numbers

    Sun Tv says for the nine months ended 31 December 2019 (9M 2020) income from the company's IPL franchise SunRisers Hyderabad for season 2019 (partial) was Rs 244 44 crore as compared to Rs 386.29 crore for IPL 2018., hence a decline of 36.7 percent. Corresponding costs in 9M 2019 declined 26.8 percent y-o-y to Rs 138 46 crore from Rs 189 15 crore for 9M 2019. Hence the net operating profit for Sun Tv’s IPL franchise declined 46.2 percent y-o-y in 9M 2020 to Rs 105.98 crore from Rs 197.14 crore.

    BENGALURU: The Kalanithi Maran-headed Sun TV Network Ltd (Sun TV) reported 5.9 percent y-o-y increase in consolidated operating revenue for the quarter ended 30 September 2019 (Q2 2020, quarter or period under review) as compared to the corresponding year ago quarter Q2 2019. Sun TV reported consolidated operating revenue of Rs 852.52 crore for Q2 2019 as compared to Rs 779.65 crore for Q2 2019. Total Income (revenue) for Q2 2020 increased 6.8 percent y-o-y to Rs 900.74 crore as compared to Rs 843.44 crore in Q2 2019.

    Consolidated profit after tax (PAT) for Q2 2020 was almost flat (up 1 percent) y-o-y at Rs 368.79.87 crore as compared to Rs 364.99 crore in Q2 2019. Calculated simple consolidated EBITDA for Q2 2020 at Rs 479.24 crore  was 15.2 percent lower y-o-y than the Rs 565.07 crore.

    Sun TV reported standalone subscription revenue of Rs 397.39 crore for Q2 2020, which was 17 percent higher than the Rs 339.79 crore for Q2 2019.

    Following closely on the heels of the dividend already declared in the first quarter, the board of directors of Sun TV has recommended a second interim dividend of Rs 2.50 per equity (50 percent) share of face value of Rs 5 each for Q2 2020.

    BENGALURU: The Kalanithi Maran-headed Sun TV Network Ltd (Sun TV) reported almost flat y-o-y standalone operating revenue (down 0.1 percent) for the quarter ended 30 June 2019 (Q1 2020, quarter or period under review) as compared to the corresponding year ago quarter Q1 2019. Without the income generated from Sun TV’s IPL franchise ‘Deccan Chargers’, the company’s operating revenue increased 16 percent y-o-y in Q1 2020. Sun TV reported standalone operating revenue of Rs 1,101.36 crore for Q1 2020 as compared to Rs 1,120.39 crore for Q1 2019. Ex-IPL, the company reported standalone operating revenue of Rs 856.97 crore for the quarter under review as compared to Rs 738.59 crore for Q1 2019. Sun TV reported subscription revenue of Rs 396.94 crore for Q1 2020, which was 27.5 percent higher than the Rs 311.27 crore for Q1 2019.

    The board of directors of Sun TV has recommended an interim dividend of Rs 2.50 per equity (50 percent) share of face value of Rs 5 each.

    Calculated simple standalone EBITDA for Q1 2020 at Rs 682.91 crore (62 percent of operating revenue) was 7.1 percent lower y-o-y than the Rs  734.71 crore (65.6 percent of operating revenue). Standalone profit after tax for Q1 2020 declined 6.7 percent y-o-y to Rs 381.87 crore as compared to Rs 409.14 crore in Q1 2019.

    The company reported income from its IPL franchise of Rs 244.39 crore for Q1 2020 as compared to Rs 385.92 crore in Q1 2019. IPL franchise costs for the quarter under review were Rs 138.40 crore as compared to Rs 186.66 crore in Q1 2019. Sun TV paid IPL franchisee fees of Rs 46.31 crore in Q1 2020 as compared to Rs 71.33 crore in the corresponding year ago quarter.

Employee Benefits Expense in Q1 2020 reduced 13.7 percent y-o-y to Rs 73.49 crore as compared to Rs 85.16 crore in Q1 2019. Other expenses (OE) in the Q1 2020 reduced 8.1 y-o-y percent to Rs 136.27 crore as compared to Rs 148.29 crore  in the corresponding quarter of the previous year.

    MUMBAI: Sun TV Network has been witnessing a top-level rejig, according to reports. R Mahesh Kumar, who currently serves as president, has been elevated as MD of the company, following the resignation of the network’s MD and CEO K Vijaykumar which is effective 31 March 2019.

    However, K Vijaykumar will continue as the executive director of the board with effect from 1 April 2019. Additionally, the network’s chairman Kalanithi Maran’s daughter, Kaviya Kalanithi Maran, will be joining the board as additional director and she will remain on the board for five years starting 1 April.  

    The company said in a filing to the BSE, “This is to inform you that the Board of Directors of the Company in its meeting held on 20th March, 2019 has appointed Mr. R. Mahesh Kumar as an Additional Director as well as Managing Director, Ms. Kaviya Kalanithi Maran as an Additional Director and Executive Director, Mr. Sridhar Venkatesh and Mr. Desmond Hemanth Theodore as an Additional Directors (Independent) with effect from 1st April, 2019 for a period of five years, subject to the approval of shareholders of the Company.”

    The company added, “We affirm that Mr. R. Mahesh Kumar, Kaviya Kalanithi Maran, Sridhar Venkatesh, and Desmond Hemanth Theodore are not debarred from holding the office of director by virtue of any order of Securities and Exchange Board of India or any other authorities.”

    It further stated, “Further, Mr. K. Vijaykumar, managing director and chief executive officer of the Company has resigned from the post of managing director and chief executive officer with effect from closing hours of 31 March 2019, however, shall continue as an executive director with effect from 1 April 2019.”
