    Zee Telefilms lodges FIR against T-Series’ Bhushan Kumar

    MUMBAI: Subhash Chandra’s Zee Telefilms Ltd. has accused T-Series promoter and Super Cassettes Industries Limited (SCIL) CMD Bhushan Kumar of non-payment of dues and forging of agreement papers. Accordingly, the company has registered an FIR with Mumbai’s Economic Offence Wing (EOW) against Kumar for cheating and forgery.

    According to Zee Telefilms lawyer Ramesh Pandey, the basis of the case with the EOW are two letters drafted by Bhusan Kumar, one on 15 September and the other on 15 May, in which he claims that an amount of Rs 57.3 million was to be paid to SCIL by ETC Channel Network Ltd., on the basis of alleged agreement/Letter dated 15 May 2006.

    However, there is no such agreement/Letter dated 15 May 2006 on the records of ETC Channel Limited, and therefore ETC Channel Network has exercised its legal right & filed a complaint before the EOW for commission of an act of forgery, cheating and criminal conspiracy against Kumar. Pursuant to the same an FIR has been registered at Oshiwara Police Station against Bhusan Kumar and others of SCIL for commission of offence as mentioned above, Pandey adds.

    T-Series lawyers have been quoted in a Financial Express report as saying that, “The letters are not forged and if at all there was a case in the matter, its civil in nature.” The company also claimed that the two officials who had signed the agreement on behalf of ETC have been removed.

    ETC share buyback programme: SEBI exempts Zee from making open offer

    MUMBAI: The Securities and Exchange Board of India (SEBI) has paved the way for repurchase of shares by ETC Networks Ltd. The market regulator has granted exemption to Zee Telefilms Ltd. (ZTL) and Asian Satellite Broadcast Pvt. Ltd. from making an open offer regarding increase in their voting rights from 54.42 per cent to 58.73 per cent.

    “Pursuant to the said increase in voting rights, there would not be any change in control of the target company (ETC Networks). The application seeking exemption was forwarded by SEBI to the takeover panel. The panel recommended for exemption to the acquirers from making an open offer,” SEBI says in a release.

    ZTL and Asian Satellite Broadcast (referred to as ‘the acquirers’) are the promoters and collectively hold 54.42 per cent in ETC.

    “The repurchase of shares by ETC is aimed at increasing shareholder value. We plan to exercise the buyback programme after getting the necessary approvals,” says Essel Group CEO of corporate strategy and finance Rajiv Garg.

    ZTL and Asian Satellite Broadcast (holding company of the Group) had, on 13 June 2006, filed an application with the SEBI. “ETC Networks has announced to buy back up to 10 per cent of its total paid up equity capital and free reserves at a price not exceeding Rs 62 per share in compliance with the provisions of sections 77A and 77AA of the Companies Act 1956 and provisions of SEBI (Buy-Back of Securities) Regulations, 1998. In view of the said buy back, the holding of the acquirers would increase from 54.42 per cent to 58.73 per cent of the total paid up capital of the target company. As the shareholding of the acquirers would increase beyond 55 per cent of the issued capital of the target company, the acquirers have sought exemption from the provisions of Chapter III of the Takeover Regulations,” the letter said.

    The aim of the share repurchase programme is reduce the paid up share capital and improve earnings per share (EPS). This will be beneficial to the shareholders in the form of higher dividend pay out and increased EPS.

    Music airplay: ETC, T-Series at loggerheads

    MUMBAI: The Zee Network owned music channels ETC and Zee Music have decided to take on T-Series, the audio company which controls a large of chunk of the Bollywood music market, over what they assert are pending dues amounting to over Rs 70 million.

    ETC Networks has issued a notice declaring that it has “with immediate effect stopped accepting bookings for telecasting of film trailers and promos of film and non film music from Super Cassette Industries Ltd (T-Series).”

    Countering the charge, T-Series has denied any outstandings and has retaliated by claiming that it is Zee that has infringed on the intellectual property rights of the entire film industry, including T-Series.

    The ETC release, meanwhile, points out, “All concerned producers who have made bookings through Super Cassette Industries may kindly note that their trailers and promos will not be telecast by us on account of deliberate and purposeful default of payment.”

    ETC has also highlighted that “all producers who are interested in telecasting their film trailers and promos of film and non film music with immediate effect as well as in future are requested to directly approach the company.” The statement further says that ETC is ready to provide “new revised and reduced rates and terms” specially for producers.

    T-Series holds the audio rights of some big upcoming releases in 2006 including Babul, Salaam-e Ishq, Jaaneman and the Shah Rukh Khan-starrer Don, so how the face-off plays out could well have far-reaching implications across the industry.
