    Did govt pressure nudge ABS-2 to shutter Indian TV channels on FTA DTH service?

    NEW DELHI: ABS has closed the doors from 1 May 2018 on Indian TV channels that were using the ABS-2 satellite-beamed FTA Ku-band platform. Apparent reason: Indian government pressure on local TV channels to stop using the ‘unlicenced’ platform that discouraged payment of carriage fee to the satellite operator, which was the origin of the business.

    The Bermuda-registered satellite operator’s ABS-2 signals — hosting on its South Asian beam a Nepalese and a Bangladeshi DTH services licenced in their respective countries — have been spilling over into India and a mix of Indian, Nepalese and Bangladeshi TV channels were available to Indians as a FTA service that was accessed via some plain vanilla hardware (read set-top boxes and antennae) at a nominal cost.

    On being petitioned by Indian distribution platforms, Ministry of Information and Broadcasting (MIB) in 2017 had asked Department of Space (DoS) to block the “unauthorised” DTH or KU-band ABS-2 service on the grounds of possible threat to national security — an allegation that was refuted by ABS citing international laws of ITU.

    Finally, when ABS took the decision to shut the doors on the Indian TV channels, there were 90 of them, mostly beaming content in non-Hindi Indian languages. These channels were using the FTA Ku-band platform to reach not only Indian audiences in southern and eastern parts of India but, probably, also those in Nepal and Bangladesh for additional eyeballs. Eyeballs meant advertising revenue for these TV channels.

    ABS last year had refuted Indian government charges saying “natural spillover” of satellite signals into neighbouring countries, outside the service area of the countries offering licensed DTH services, but falling within the coverage area of the satellite, was in “full compliance” of ITU provisions.

    With ABS discontinuing the Indian TV channels, Reliance Big TV (sold by Anil Ambani’s Reliance Communications to new investors) FTA DTH service yet to fully bloom and Doordarshan’s FreeDish platform locked in a policy logjam, free to air platforms and low-cost television viewing for people in the Indian hinterland seem to have run into air turbulence.

    According to industry experts, Indian hardware companies had devised a way to have two LNBs (low-noise box) in one single DTH antenna that was capable of receiving both ABS-2 and DD FreeDish services, resulting in sizable popularity of these two platforms that were accessed via a low-cost hardware. This was unlike the full-fledged subscription-based DTH services made available by the likes of Tata Sky, Dish TV, Videocon d2h and Sun TV.

    BENGALURU: Tata Sky and Airtel Digital TV (Airtel DTH) have reason to rejoice as they saw market share rise in calendar year 2017 as compared to a year ago. Both saw an increase by one per cent each at the end of December 2017 as compared to at the end of December 2016 according to Telecom Regulatory Authority of India (TRAI) data.

    Tata Sky had 24 per cent market share at the end of 2017 (CY-2017) as compared to 23 per cent at the end of 2016 (CY-2016), while Airtel DTH had 21 per cent share as compared to 23 per cent during the same period. Hence, the market share of Tata Sky and Dish TV, which lost one per cent market share in 2017, was the same. The other player that lost market share was Videocon d2h – its market share fell by a percentage point to 19 per cent in 2017 as compared to 20 per cent in 2016. 

    We had mentioned earlier that the share of the three major players whose numbers are available in the public  domain –(in order of number of subscribers – Dish TV, Airtel DTH and Videocon d2h) has been declining –  from about 65 per cent to 64 per cent in the Jun-Sep17 quarter to an even lower 63 per cent in the Oct- Dec 2017 quarter.

    According to TRAI data, the overall private DTH active subscriber base grew by 4.19 million or 0.419 crore (7.8 per cent) in CY-2017 to 67.56 million or 6.756 crore from 62.65 million or 6.256 crore in CY- 2016. Comparatively, in 2016, the overall private DTH active subscriber base grew by 6.67 million or 0.667 crore (11.9 per cent) from 55.98 million or 5.598 crore in CY- 2015.

    As also mentioned by us earlier, quarterly data released by TRAI indicates that the industry added net 2.25 million or 0.225 crore subscribers for the quarter ended 31 December 2017 (Oct-Dec17 quarter), hence the final quarter of CY-2017 accounted for about 46 per cent of the net subscribers added during the year. The Oct-Dec17 quarter had the highest quarter-on-quarter pay-TV DTH subscriber growth in CY- 2017 at 3.45 per cent.

    We’d said that CY-2017 saw muted pay-TV DTH subscriber growth. Those numbers were based on the results declared by the above mentioned three private DTH players.

    It must also be mentioned that the government’s FreeDish DTH service is the largest DTH player by far in terms of subscribers with an estimated 22 million or 2.2 crore subscribers in 2016 as per the KPMG-FICCI Indian Media and Entertainment Industry Report 2017 (KPMG-FICCI M&E Report 2017) titled Media for the Masse: The Future Unfolds. It must however be noted that an exact number for registered or active subscribers is not available since this is a free DTH service. Also, the merger of Videocon d2h with Dish TV has created the largest private television carriage player in India and quite likely the second largest in the world, be it cable, internet television or DTH or any other.

    MUMBAI: The  long-awaited fusion of Dish TV and Videocon d2h  finally saw the light of day  on 22 March 2018. The pioneer in the direct-to-home (DTH) sector, Dish TV, and the fast-growing Mumbai-hqed and Dhoot family promoted service came together making Dish TV Videocon  d2h the largest pay TV operator in India and among  the top three in the world.

    The merged TV distirbution platform  will benefit from economies of scale while leveraging the individual strengths of the two services. One of the biggest attractions for the Jawahar Goel and Essel group promoted Dish TV as the acquirer was Videocon’s significantly higher average revenue per user (ARPU) as compared to Dish TV. While the former had an ARPU  of Rs 210, the latter’s ARPU stood at Rs 155-160. The combined ARPU is expected to be Rs 180. Owing to competition from Free Dish and other operational roadblocks, Dish TV had a lower ARPU but things are on the upswing, according to Dish TV CFO Rajeev Dalmia.

    Going forward, the acquirer, Dish TV, plans to keep the two brands independent in order to explore the regional opportunities as stated by Dish TV group CEO Anil Dua in an interaction with Indiantelevision.com.

    For any merger of this magnitude, integration is a big challenge and Dish TV is no exception. To ease matters, the company is concentrating on cultural integration in a bid to get the ship in order. The management undertook a cultural survey with 2000 participants so as to ease the pain of integration. Though still it has only been more than a month since the merger, the two operators’ office premises, logistics and warehouses have already been combined. Dua reiterated that the combined entity would draw synergies to the tune of Rs 510 crore through revenue aggregation and cost savings.

    In case of geographical capability, both brands bring different strengths to the table. The consolidated entity is expected to become a pan-India behemoth with its combined 29 million subscribers with Dish TV contributing with 16 million subscribers and Videocon d2h pitching in with  13 million users as on 31 March 2018.

    “Dish TV’s has always had benchmark content cost in the industry while Videocon’s content cost has been on the higher side,” said Dua acknowledging the disparity. Dish TV’s cost of content is 30-31 per cent of subscription revenue currently while the number for Videocon is higher at 36 per cent. He pointed out that the combined cost of content will be lower and hover around 30 per cent. “We want to maintain the cost of content as a percentage of total revenue—including advertising, carriage fees, value-added services along with other income—for the combined entity at 28 per cent,” added Dalmia.

    One of the key blocks of the merger is restructuring and assigning promising personnel to important positions. The management, which conspicuously does not feature anyone from Videocon, has appointed two marketing heads—one for each brand. Dish TV has put in place a common business head for North India and East India for the brands while also having a common business head for South India and West India.

    “We have one national service head for a common model of service across the country. Moreover, Ranjit Singh will continue to be the legal head for both brands,” Dua pointed out.

    Post merger, Dish TV wants to exploit the regional strengths without limiting the strength of the individual brands. The DTH operator has retained two independent brands as they have two marketing heads and two separate sales teams for each brand.

    MUMBAI: Despite having substantial share across all markets in South India, direct-to-home (DTH) operator Dish TV is currently focusing on Tamil Nadu as the market there affords a big pay TV opportunity. Moreover, the state is also going through digitisation, which has created more avenues for DTH players to increase their subscriber base in the state.

    Recently, Dish TV announced a plan to come up around 30 popular Tamil channels on its platform with an aim to leave customers with wider choice. In an interaction with Indiantelevision.com, Dish TV India SVP marketing Sukhpreet Singh said that Tamil Nadu has always been important for the company and is one of the top markets for the company.

    “We are a major player in every market, including the South Indian market. We have a substantial share in Karnataka, Andhra Pradesh and Telangana, too. But we are focusing more on the Tamil market because there is more content available. At this point of time, we are focusing on the Tamil market as it is going through digitisation,” he said when asked about the company’s plan to focus on other South Indian markets.

    However, he said that being a pan-India brand, it is not fair to focus on one market over another. The company keeps figuring out what customers want in a particular state, if there’s need of more content, subscription packages or services. Currently, they are doing this for Tamil Nadu.

    Being a multi-dimensional market, Tamil Nadu has several segments of audience. One of the segment watches Tamil channels only while another one watches other South Indian language channels along with Tamil channels. Then, there are other two segments that demand Hindi and English content. The company tries to reach each of the four segments with subscription packs applicable for a particular segment.

    “We continuously keep coming up with subscription packages; recently, we launched an annual subscription package for Tamil Nadu,” Singh said. The primary means of attracting more users to the platform is providing more content. Along with that, content has to be packaged and priced correctly.

    Through promotional programmes and advertisements, Dish TV wants to keep its customers aware of all the plans. For building up the subscriber base, it is expanding distribution as well.

    “We do unique things. For example, Dish TV is the only brand that provides the option of topping of your pack with single channels also,” he said. “If a customer who basically watches Tamil content and want some English channels, they don’t have to opt for the mega pack. They can pick channels at Rs 8.5 under ‘Mera Apna Pack’ initiative. This initiative has attracted a lot of customers.”

    To increase market share, the long-term strategy is always based on better customer experience. Brand loyalty has a direct bearing on market share.

    “The number of people subscribing to our VAS (value-added services) has increased dramatically,” he added when asked about how VAS was helping Dish TV’s business.

    During the various digitisation phases, Dish TV acquired a number of customers in the state. Now, as the market has matured, like all the brands, Dish TV is also experimenting with new strategies.

The company is inviting tech enthusiasts to develop unique products and create impactful solutions to advance digital transformation for great customer experience.

    “Our latest initiative, Dish-a-thon is aimed at delivering unparalleled customer experiences. We’re thrilled to be leading this never done before initiative in the M&E/broadcast industry, which will provide opportunity for tech enthusiasts to come up with ideas that will re-define technology in the M&E/broadcast industry for the future,” Dish TV India Ltd group CEO Anil Dua said on the launch of Dish-a-thon.

    The event is open for individual teams of developers and startups. DishTV, in collaboration with IncubateIND, will be shortlisting 25 teams for a 30-hour open-format grand finale. It will be organised in Bengaluru on June 16 and in Delhi on June 23, 2018.

    “We are proud to partner Dish TV, the pioneer in the DTH industry in the inaugural year of Dish-a-thon. Dish TV has always been at the forefront of development with its path-breaking initiatives and the most receptive brand that has imbibed innovation in its culture.     MUMBAI: Direct-to-home (DTH) operator Dish TV has planned to come up with 30 popular Tamil channels on its platform for the customers in Tamil Nadu. This will leave customers with a wider choice of entertainment in their language of comfort.

    “Understanding customer requirement and driving high engagement through our offerings has always been our focus. With the addition of around 30 most popular Tamil channels, we aim to add a new dimension in our products and services and hope our customers will enjoy the fabulous content. At Dish TV, we will continue to work towards customer-centric offerings to drive the highest levels of satisfaction and entertainment,” Dish TV India Ltd senior vice president-marketing Sukhpreet Singh said.

    Currently, leading channels such as Sun TV, STAR Vijay, Zee Tamil, KTV and Colors Tamil exist on the platform’s Tamil language portfolio. The new plan also includes adding more HD channels thereby boosting the company’s ‘HD for all initiative’.

    The company has a distribution network of more than 4,000 distributors and around 400,000 dealers across 9,450 towns in the country.

    Dish TV-Videocon d2h lists GDRs on London stock exchange

    MUMBAI: When Dish TV-Videocon d2h Ltd announced their merger, a presentation to investors had stated that the merged entity would issue global depository receipts (GDRs) on the Luxembourg exchange. However, probably what it meant was the London stock exchange. Which is what happened last week.

    The world’s second largest pay TV company in terms of subscribers announced on 13 April that 277,095,615 GDRs (each representing a fully paid equity share) have been listed and permitted to trade on the professional securities Market of the London Stock Exchange. These have an approximate value of $315 million while DishTV Videocon d2h has a market cap of $2.2 billion, based on the ordinary shares listed in India.

    This followed the ingestion of Videocon d2h into Dish TV India on 22 March 2018. The former had American depository shares listed on Nasdaq; these stand delisted and have been exchanged for Dish TV’s GDRs.

    Said Dish TV India chairman & managing director Jawahar Goel: “The amalgamation of Videocon d2h and Dish TV has put the new entity on the road to exceptional future growth and profitability. Having London Stock Exchange as a partner in that journey will make it much more rewarding. We now look forward to leading the DTH industry in India to the next level.”

    Dish TV India group chief executive officer Anil Dua added: “We are extremely pleased to start trading on London Stock Exchange today and increase our visibility to international investors, following the successful completion of the merger between Videocon d2h and Dish TV. The merger and the eventual listing has been long awaited news for many.     NEW DELHI: The promoter group entities of Dish TV India Ltd (Dish TV) have made an offer to buy an additional 26 per cent equity stake from public shareholders of the direct-to-home (DTH) operator for Rs 3,701 crore.

    According to a release issued to the BSE today, Dish TV promoter entities World Crest Advisors LLP, along with Veena Investments Pvt Ltd and Direct Media Distribution Venture Pvt Ltd, announced an offer to acquire shares of Dish TV at a price of Rs 74 per share.

    The offer is being made to all the shareholders of Dish TV to acquire up to 50.01 crore shares of the company that form 26 per cent of the emerging share capital, payable in cash.

    Last month, the long drawn out merger of Dish TV and Videocon d2h Ltd (Videocon d2h) finally came to pass. The combined entity, to be named Dish TV Videocon, will have approximately 29 million subscribers, making it the second largest DTH company in the world. There was a halt in the merger scheme about three months ago when Dish TV wanted Videocon d2h to clarify some of the insolvency proceedings against it.

    Dish TV announces fresh Videocon d2h Nasdaq delisting date

    BENGALURU: Dish TV India Limited (Dish TV), as successor to Videocon d2h, announced a revised timetable for the anticipated delisting of Videocon d2h American depositary shares (ADSs) from the Nasdaq Global Market (Nasdaq). The timing of the global depositary shares (GDS) effective date (as defined below) has been revised and will no longer occur on 5 April 2018.

    A Dish TV filing says that it is intended that the Videocon d2h ADSs will be voluntarily delisted from Nasdaq following the close of trading on 11 April 2018. As such, the last day of trading of Videocon d2h ADSs on Nasdaq is expected to be on 11 April 2018 and the delisting of the Videocon d2h ADSs from Nasdaq is expected to take effect on 12 April 2018. As soon as practicable following the effectiveness of the delisting from Nasdaq, Dish TV will file a Form 15F with the SEC to deregister with the US Securities and Exchange Commission and terminate its reporting obligations under the SEC Act of 1934. It is currently anticipated that, subject to approval by the UK Listing Authority, the new Dish TV GDRs issued in exchange for the Videocon d2h ADSs will be admitted to trading on the Professional Securities Market of the London Stock Exchange plc on or about 13 April 2018.

    As per the second updated mandatory Exchange notice, effective as of 12 April 2018 (the GDS Effective Date):

    (i) all outstanding equity shares of Videocon d2h as of the scheme effective date, including equity shares underlying Videocon d2h ADSs, will be mandatorily exchanged for new equity shares of Dish TV. In such mandatory exchange, 857,785,766 new equity shares of Dish TV will be issued in exchange for the outstanding equity shares of Videocon d2h as of the scheme effective date. The number of outstanding equity shares of Videocon d2h as of the scheme effective date was 424,997,937. Accordingly, the share exchange ratio will be 857,785,766 divided by 424,997,937 (the share exchange ratio), which is approximately 2.01832925 new equity shares of Dish TV for every 1 equity share of Videocon d2h (rounded to eight decimal places);

    (ii) holders of Videocon d2h ADSs will be entitled to receive on a mandatory basis such number of new Dish TV GDS  that equals the share exchange ratio multiplied by four, which is approximately 8.07331699 new Dish TV GDSs for every 1 Videocon d2h ADS (rounded to eight decimal places).

    BENGALURU: After the debacle created by demonetisation in November 2016 and then the implementation of the new Goods and Services Tax regime in July 2017, the fortunes of the pay TV direct-to-home (DTH) industry seem to be improving in terms of subscriber addition. Quarterly data released by the Telecom Regulatory Authority of India (TRAI) indicates that the industry added net 22.5 lakh (2.25 million) subscribers for the quarter ended 31 December 2017 (October to December17 quarter). Throughout the calendar year 2017 (CY-2017), the industry had added 49.1 lakh (4.91 million subscribers), hence the final quarter of CY-2017 accounted for about 46 percent of the net subscribers added during the year.The Oct-Dec17 quarter had the highest quarter-on-quarter pay-TV DTH subscriber growth in CY-2017 at 3.45 percent. The number of active pay-TV DTH subscribers in India as per TRAI data as on 31 December 2017 was 675.6 lakh or 67.56 million as compared to 653.1 lakh (65.31 million) in the Jun-Sep17 quarter.

    As mentioned by us earlier, CY-2017 saw muted pay-TV DTH subscriber growth. Those numbers were based on the results declared by three private DTH players whose numbers are available in the public domain. They are: Indian telecom major Bharti Airtel’s Airtel Digital TV (Airtel DTH), the Essel group’s Dish TV and Videocon d2h. The other three private pay-TV players during a part of CY-2017 were Tata Sky, the Sun TV Network’s Sun Direct and Reliance Big TV. It may be noted that Reliance Big TV has been acquired by Pantel Technologies and Veecon Media. Normal operations have to recommence as yet. A number of Big TV customers were acquired by other players and the true status of its operations and current subscriber numbers are still unclear at the time of writing of this paper. Furthermore, the merger of Videocon d2h into Dish TV has been recently concluded, and the combined entity has the second largest pay-TV subscriber base in the world.

    Be that as it may, the share of the three major players in the Oct-Dec17 quarter (in order of number of subscribers–Dish TV, Airtel DTH and Videocon d2h) has been declining from about 65 percent to 64 percent in the Jun-Sep17 quarter to an even lower 63 percent in the Oct-Dec17 quarter. It may be noted that Tata Sky subscriber base could be higher than Airtel’s subscriber base. Tata Sky data is not available in the public domain, and hence this cannot be verified or neglected.

    Besides the six private pay DTH players, Doordarshan’s (DD) FreeDish DTH service is a major player in terms of subscribers with an estimated 2.2 crore as per the numbers available in the public domain. It must, however, be noted that an exact number of registered or active subscribers is not available even with DD since this is a free DTH service.According to an E&Y report titled ‘India’s Free TV’ released in July 2017, among the DTH operators in India DD FreeDish has grown to become the largest with its estimated 2.2 crore subscribers which E&Y predicted could cross 4 crore over the next two to three years.

    Please refer to the figure below for the trends of pay-TV subscribers based on TRAI data and the numbers published by the three players in the public domain. Q-o-q growth for the Jan-Mar16 quarter cannot be compared with the Oct-Dec15 quarter since TRAI changed the way it measured active DTH subscribers in the Jan-Mar16 quarter.
