    RIL AGM to be streamed live from 11 am onwards 1 Sept

    MUMBAI: A lot is expected to be revealed about Reliance Jio progress and rollout plans during the course of Reliance Industries Ltd’s 42 annual general meeting with its shareholders on 1 September.

    Punters are betting that its tariffs will be disclosed as well as the plans it has VoLTE, IPTV and broadband.
    RIL has reportedly spent over Rs 29,000 crore over Jio and is expected to invest more. And while the profits are not expected to start rolling out during its investment and growth phase, RIL would still like to know what chairman Mukesh Ambani has in store. As Jio is expected to revolutionise the way Indians consume data and engage on their mobiles.

    Keeping this in mind, RIL has decided to stream the AGM live on its various online digital channels from 11 am when Mukesh Ambani is slated to begin his speech.

    MUMBAI: Since its inception in 1991, CASBAA has welcomed an ever-growing group of members, showcasing the diverse industries and areas that make up Asia Pacific Broadcasting. Now, following its AGM on 29 October, CASBAA has announced its most extensive group of Directors to date, with many of the regional industry’s leading players represented.
     

    A lineup of 13 preeminent Directors will form the new Board: Marcel Fenez (PwC), Amit Malhotra (Walt Disney), Andrew Jordan (Eutelsat), Bill Wade (AsiaSat), Janice Lee (PCCW), Joe Welch (21st Century Fox), Jonathan Spink (HBO), Mark Patterson (GroupM), Ricky Ow (Turner), Alexandre Muller (TV5MONDE), Frank Rittman (Motion Picture Association), Sompan Charumilinda (TrueVisions), and Todd Miller (Celestial Tiger Entertainment).

    PVR receives shareholders’ nod to raise Rs 500 crore via NCDs

    MUMBAI: Multiplex chain PVR has received shareholders’ approval to raise Rs 500 crore through issuance of non-convertible debentures (NCDs) on private placement basis.

    Additionally, the shareholders also approved a dividend of Rs 1 on each equity share for FY 2014-15 at its 20th annual general meeting (AGM).

    It may be recalled that last year, the PVR board had approved a plan to raise Rs 500 crore via qualified institutional placement (QIP).

     

    As of July 2015, PVR operates 474 screens across 106 locations in 43 Indian cities, which are spread across 15 States and one Union Territory.

    For the quarter ended 30 June, 2015, PVR posted net profit of Rs 56.67 crore as compared to Rs 8.47 crore for the quarter ended 30 June, 2014. The company’s total income increased from Rs 343.24 crore for the quarter ended 30 June, 2014 to Rs 462.82 crore for the quarter ended 30 June, 2015.

    Dish TV appoints new independent directors

    MUMBAI: Dish TV, in the recently held 26th Annual General Meeting (AGM) announced the appointment of four new independent directors in the company.

     

    Lakshmi Chand, Bhagwan Dass Narang, Arun Duggal and Eric Louis Zinterhofer have been appointed as independent directors of the company to hold office for a term of three years.

     

    According to the statement issued by the company, all the four independent directors were appointed as “Director whose office was liable to retire by rotation, be and is hereby appointed as independent director of the company, whose office is not subject to retirement by rotation, to hold office for a term of three consecutive years.”

     

    Lakshmi Chand was an independent non-executive additional director on the board of the company. He is a post graduate in MA (Eco) from Punjab University and is a Law graduate from Delhi University.

     

    101 equity shareholders representing 78,27,27,656 equity shares comprising 99.999 per cent of  total  votes casted, voted in favor of the resolution of appointing Chand as an independent director and seven equity shareholders representing  10,170 equity shares comprising 0.001 per cent of total votes casted, voted against the resolution.

     

    Narang was an independent non-executive member of the board and is a post graduate in agricultural economics and brings with him 32 years of banking experience.

     

    68 equity shareholders representing 75,02,72,688 equity shares comprising 95.852 per cent of total  votes casted, voted in favor of the resolution of appointing Narang as an independent director and 40 equity shareholders representing  3,24,65,138 equity shares comprising  4.148 per cent of total votes casted, voted against.

     

    Arun Duggal was an independent non-executive member of the board. Duggal is a Mechanical Engineer from Indian Institute of Technology, Delhi, and holds an MBA from the Indian Institute of Management, Ahmedabad.

     

    97 equity shareholders representing 76,72,71,725 equity shares comprising 98.024 per cent of total  votes casted, voted in favor of the resolution of appointing Duggal and 11 equity shareholders representing  1,54,66,101 equity shares comprising 1.976 per cent of total votes casted, voted against.

     

    Eric Louis Zinterhofer was an independent non-executive member of the board. Prior to co-founding Searchlight Capital Partners in 2010, Zinterhofer was a senior partner at Apollo Managemen which he joined in 1998.

     

    61 equity shareholders representing 74,52,43,442 equity shares comprising 95.210 per cent of total  votes casted, voted in favor of the resolution of appointing Zinterhofer and 47 equity shareholders representing  3,74,94,384 equity shares comprising  4.790 per cent of total votes casted, voted against.

     

    In the AGM, the re-appointment of Mintoo Bhandari as the non­executive nominee director was also announced.

     

    64 equity shareholders representing  74,87,25,208 equity shares comprising  95.655 per cent of total  votes casted, voted in favor of the resolution and 44 equity shareholders representing  3,40,12,618 equity shares comprising  4.345 per cent of total votes casted, voted against.

     

    The company recently announced its financial results for the current quarter and reported a decline in loss for the current quarter at Rs 15.1 crore as compared to the Rs 16.05 crore in the trailing quarter. The company also reported an addition of 332,000 subscribers in the quarter.

    MUMBAI: The board of directors (BOD) of Network 18, at its annual general meeting (AGM) seeked shareholder approval for allowing borrowing power up to Rs 1800 crore. At the same time the BOD of TV18 also requested the same for Rs 1500 crore.

     

    Both the resolutions were passed giving the BOD rights to borrow till the limit over and above the paid-up capital, free reserves and securities premium account.

     

    Another special resolution was to get an approval to offer or invite to subscribe to non-convertible debentures on private placement basis for both the companies.

     

    ‘Private placement’ means any offer of securities or invitation to subscribe securities (equity or securities that convert to equity) to a select group of persons by a company, other than by way of public offer, through issue of a private placement offer letter.

     

    Bothe the special resolutions were passed at the AGM with 100 per cent votes.

     

    The ordinary resolution passed at the meeting included, re-appointment of Raghav Bahl as a director who retires by rotation, appointment of Rohit Bansal and Vinay Chhajlani as directors and appointment of Deepak Parekh and Adil  Zainulbhai  as independent directors.

     

    Other resolutions include appointment of auditors and fixing their remuneration (ordinary resolution), approval of the remuneration of the cost auditor (ordinary resolution) and adoption of new articles of association of the company (special resolution).

     

    It has been four months since the Bahl-founded company was taken over by petrochemical conglomerate Reliance Industries’ chairman Mukesh Ambani.

    Prakash Javadekar confirms the new digitisation deadline

    MUMBAI: The first deadline for complete digitisation in the country, 31 December 2014 has been pushed to 2015 and 2016, as first reported by indiantelevision.com.

     

    Now, the Information and Broadcasting (I&B) Minister Prakash Javadekar has assured stakeholders who were present at the Indian Broadcasting Foundation’s (IBF) annual general meeting that “Digitisation is on track and will happen as per new schedule.”

     

    Phase III of digitisation is scheduled to be completed by December 2015 and phase IV by December 2016.

     

    Javadekar once again emphasised that one of the key reasons for pushing digitisation to a further date was to allow time for Indian set top boxes (STBs) to be manufactured.

     

    Regarding industry rating body Broadcast Audience Research Council (BARC), the Minister said that the government was also keen to have its rollout to have multiple agencies for ratings.

     

    A meeting to discuss carriage fees is also likely to happen sometime soon between Javadekar and members of the IBF.

     

    The Home Ministry has also given the I&B Ministry approval to treat files pending with it for more than three months as ‘cleared’ to speed up channel licence clearances.

    MUMBAI: The annual general meeting (AGM) of Reliance Industries was much awaited. With the talk around the company only growing in the past few weeks after it acquired Network18, eyes were fixed on the probable outcome of this meeting. The 40th AGM which was held today, saw RIL chairman Mukesh Ambani highlighting the future of the much awaited 4G broadband network in the country under the brand of  Reliance Jio.

     

    “I had shared the vision of this initiative, Jio- of a digital India- last year and of the unique opportunity that we have to maximise the benefits of the digital age. Digital services will help contribute significantly to the Indian economy and help improve lives of our 1.25 billion countrymen,” he said while addressing shareholders at the AGM.

     

    He also informed the shareholders that limited set of trials for Jio are already underway and the expanded trials would begin from August 2014 which would continue through 2014 and early 2015. “The year 2015 will see the phased launch of Reliance Jio across India. Millions of customers would have started to use the digital platform and services in their daily lives. The fruits of the tremendous value created by this (Jio) Rs 70,000 crore initiative would start to flow,” he stated.

     

    The broadband service will cover all states at launch accounting for 90 per cent urban India and 215,000 villages. Eventually it will cover over 600,000 villages. “They would ensure that every Indian has access to the state-of-the-art digital connectivity and services that are on par with or better than anywhere else in the world,” said Ambani proudly. 

     

    Assuring the shareholders about its future, Ambani emphasised, “Reliance Jio will be one of the largest job-creating and wealth-creating business initiatives in India.” Currently 10,000 full time employees are working on Jio along with 30,000 professionals from Reliance’s partners and vendors across the world. This apart, he said that 100,000 people are working across India in creating the digital infrastructure backbone for the network. “Millions of new entrepreneurs and jobs can be expected to spring up in the tertiary and secondary sectors in new and innovative digital enterprises and services,” he added.

     

    Throwing light on the reason for acquisition of Network18, Ambani said, “The acquisition through an open offer of Network18 media and investments and its subsidiary TV 18 broadcast by Independent Media Trust, the sole beneficiary of which is Reliance Industries is one aspect of the digital services play.” He stated that this would strengthen its 4G business at the intersect of telecom, web and digital commerce and the media through a suit of premiere digital properties.

     

    The reason for strengthening its large projects, one of which is Jio is to get Reliance Industries closer finding its way into the presetigious list of  Fortune 50 companies. He added: “Our efforts and focus over the next two years will be to intensify these initiatives and have them reach out to more citizens across the social spectrum. Reliance will be moving from investing in India’s economic future to integrating deeper with India’s social fabric.” 

     

    The AGM was also significant as it saw the appointment of Mukesh Ambani’s spouse Nita Ambani on the Reliance Industries board. Ambani stated that she was being appointed – as she was an “accomplished individual, the chairperson of the group’s CSR initiative, Reliance Foundation, which has done exceedingly well – “for furthering the group’s growth agenda.”

     

    Industry watchers have been speculating  whether she will have a role to play in the Network18 group, which RIL is in the process of acquiring totally. The megacorp has denied that this “will come to pass, at least for now.”

    MUMBAI: The 14 annual general meeting (AGM) of the IBF took place late yesterday in Mumbai, proceeding which multi screen media (MSM) CEO Man Jit Singh was re-elected as the president of the foundation for the year 2013-14.

    Discovery Networks Sr VP and GM south Asia Rahul Johri has been elevated as the new vice-president along with existing vice-presidents Zeel MD and CEO Punit Goenka as well as India TV chairman and editor in chief Rajat Sharma. Times Television Network (TTN) CEO Sunil Lulla is the new IBF treasurer.

    On his re-appointment Singh said “I am delighted that my industry colleagues continue to have faith in me to guide the IBF. The last year has been very eventful for our industry with digitisation phases I and II, considerable progress on a new measurement system under BARC, and a shift from TRPs to TVTs. Substantial challenges continue in the current year. We need to build on the success of content regulation, continue the process of digitisation and work collaboratively with the broader industry.”

    BENGALURU: Content and broadcast player Zee Entertainment Enterprises Limited (Zeel) unaudited results for Q1-2014 reported a growth of 42.6 per cent ( y-o-y) PAT, with a PAT margin of 23 per cent at Rs 223.9 crore as compared to the Rs 157 crore during the corresponding quarter of FY-2013. Consolidated operating revenues were up 15.5 per cent (y-o-y) at Rs 973.3 crore during Q1-2014 from the Rs 843 crore reported for Q1-2013.

    Let’s take a look at Zeel’s Q1-2014 performance

    Advertising revenues for Q1-2014 were higher at Rs 530.1 crore, recording an 18.5 per cent growth over Q1-2013’s Rs 447.2 crore.

    Zeel’s subscription revenues for Q1-2014 were also up by 16.5 per cent at Rs 421.1 crore as compared to the Rs 361.1 crore during corresponding period last year. Zeel’s domestic subscription revenues stood at Rs 316.8 crore (up 26.5 per cent as compared to Q1-2013); while its international subscription revenues were Rs 107.3 crore for Q1-2014 (down 5.6 per cent y-o-y as against Q1-2013.

    Other sales and services revenues were down 39.7 per cent for Q1-2014 at Rs 19.1 crore as compared to Rs 31.7 crore during Q1-2013.

    Zeel’s operating costs increased 9.6 per cent to Rs 410.8 crore for Q1-2014 from Rs 375.7 crore in Q1-2013. Its employee costs increased 7.7 per cent to Rs 95.6 crore from Rs 88.6 crore during Q1-2013. Selling and other expenses saw a 20.7 per cent jump to Rs 175.4 crore during Q1-2014 from Rs 145.3 crore reported in Q1-2013.

    Zeel offered and allotted 55,48,400 equity shares at a price of Rs 119.90 per share upon exercise of ESOP by its employees during Q1-2014. During the AGM held in July 2013, Zeel shareholders passed a special resolution approving enhancement of FII limits in the company beyond the current limit of 49 per cent to the maximum sectorial limit allowed under FDI applicable regulations.

    Zeel chairman Subhash Chandra said, “The economy during the quarter has continued to face challenges due sharp depreciation in rupee against major currencies leading to elevated current account deficit, balance of payment, inflation and adverse fiscal deficit. In spite of this lackluster growth television media industry has posted a comparatively robust growth on back of sustained advertisement spends by the consumer goods sector.”

    “Our performance during the quarter reflects the investments that Zee is making to grow its business and market share. This has been accompanied by a strong improvement in operating performance of the company during the quarter. In a highly competitive space, Zee continues to build its media assets and in the process continues to create value for the shareholders. We have a strong balance sheet and I am confident that we would take advantage of the growth opportunities ahead of us,” added Chandra.

    Zeel managing director and CEO Punit Goenka said, “The subscription revenue during the quarter has shown robust increase and with digitization rollout, will improve medium term. Sports performance for the quarter has been good, but due to heavy sports calendar and rupee depreciation, the business is expected to be in losses for some time.”

    “The phased implementation of Trai regulation with respect to advertising inventory based on clock-hour has started and in expected to be fully in place by the end of second quarter, DAS in phase I and II also moved a step further with MSOs’ making substantial progress in capturing consumer data and taking first steps towards implementing packaging”, added Goenka.

    “While competitive intensity remains high in the Indian television industry, we continue to make efforts towards further enhancing our market share. Our content focused approach combined with better monetization of subscription revenues, will contribute to company delivering steady return in the years ahead”, added Goenka further.
