  • Disney to amend voting bylaws for election of directors

    MUMBAI: US media conglomerate Disney has agreed that it will amend its bylaws to provide for a majority vote standard for the election of directors in uncontested elections.


    The bylaw will provide that in uncontested elections director nominees must be elected by the majority of votes cast at the annual meeting of shareholders. Incumbent directors who fail to receive a majority of votes — and who would otherwise remain in office until a successor is elected under Delaware law — would be required to offer a letter of resignation for consideration by the Board which shall be required to act promptly. Plurality voting will continue to apply if the number of nominees exceeds the number of open director positions. The Company will adopt the bylaw in time to apply to the Company‘s 2008 annual meeting,


    In 2005, the company was among the first to adopt a policy calling for directors who receive more “withhold” than “for” votes in an uncontested election to submit their resignation. That policy was adopted in the Company‘s Corporate Governance Guidelines. This year, the Company received a shareholder proposal from the Sheet Metal Workers National Pension Fund requesting that the Board initiate a process to amend the bylaws to require majority voting. The Board determined that the step was an appropriate one and agreed to amend the bylaws.


    In pursuit of its commitment to corporate governance, the Disney Board has taken several actions in the last several years. These include the adoption of an “anti-greenmail” provision; updating its executive compensation plans to stress pay for performance; setting annual terms for all Board members; eliminating the “poison pill;” requiring directors to each own a minimum of $100,000 in Disney stock; establishing regular executive sessions of non-management directors; limiting the number of other public company boards on which a director may serve; and both reducing the size of the board from 16 members in 2002 to 13 and increasing the number of independent directors

    The contest will sport Jump Games’ ten Mobile games that include titles like Sameera the Street Fighter, Bappi Da Disco King, Run Maddy Run and Baichung Bhutia – Pro Striker as well as a few international titles like Maradona and Van Damme Kick Boxing.



    The games featuring in the contest will be available for Reliance Mobile World (R World) subscribers across the country. The users will be able to access the games on Reliance Mobile World. To be eligible to take part, users need to submit high scores for each game.

    Homer‘s resolve is to lose 10 pounds, and then gain it back by Valentines Day.

As winners of the Midwest Regional Title in the Colgate Country Showdown, Juliano and Grove beat out 50,000 adult country music acts and will play against four other adult acts for the national title of Best New Country Act at the Grand Old Opry in Nashville, asserts an official release.


    The songs they perform in that competition are different from the songs they perform for children as Little Nashville, but the sound is exactly the same.


    The planning for Little Nashville‘s 2007 tour is well underway and includes venues across the Midwest and Southeast circuits with several popular street festivals in their home territory of Chicago. The team has gained a dedicated following throughout the Midwest, where authentic country music is in short supply.




    Little Nashville began two years ago as a way for Juliano to better connect with his infant son, and he quickly realised how powerfully his music could relay and reinforce good morals in children.



    Juliano says, “Having a child of my own and listening to the majority of the music out there made me want more. When my son was born I felt the need to create a concept that could have long-lasting effects on traditional family values.”




    The rhythms and melodies of Little Nashville‘s music – coupled with their emphasis on significant life lessons including racial diversity, sharing with others, learning the alphabet, and songs about acceptance – are truly responsible for the group‘s fast rise in popularity, adds the release.



    Juliano added, “I take the musical aspect very seriously when composing songs. It‘s not computer-generated music. The production sounds very today and very radio-friendly. The music naturally appeals to grown-up country fans and really charms children of all ages.”

    Pogo celebrates 3rd B-day with special shows

    MUMBAI: Pogo is celebrating its third birthday on 1 January with a month-long line up of special programming.

    The channel will offer new episodes of its original production, M.A.D. (Music, Art and Dance) and all new episodes of its flagship show, Takeshi’s Castle, along with premieres of new films on weekends.

    On 1 January when Pogo turns three years old, the channel will offer triple episodes of Noddy, Oswald, Bugs, Daffy, Mr Bean, Rob and Jaaved from 11 am to 8 pm.

    There would be a Mr Bean special programming block – Saat Se Saat Bean ke Saath on 26 January from 7 am to 7 pm.

    Starting 7 January at 10:30 am , M.A.D. Season IV will offer 13 new episodes. All new episodes of Takeshi’s Castle premiere on Pogo on 1 January at 7:30 pm.

    Also starting on 2 January is Family No: 1, Monday to Friday at 7 pm. It is a show about two families, who are forced to share and live in the same house without being given much of a choice.

    MUMBAI: The Walt Disney Company in India today launched the country-wide promotion titled – “Disney’s Little Princess”, an elaborate, across-the-line event around Disney Princess franchise in Mumbai.

    The search for Disney’s Little Princess is powered by major lines of businesses of The Walt Disney Company India namely Consumer Products, Disney Channel, Internet Group and Home Entertainment divisions.

    Little girls turned up in hundreds to sing, dance, act and display other talents at auditions conducted today. Dia Mirza, former Miss India/ Miss Asia-Pacific and Bollywood star is the face of this nationwide campaign. She was present at the venue to cheer the participants.

    Little girls across India can participate in this festive event by purchasing any Disney Princess product worth Rs 100 or more and win an entry to audition for the “Disney’s Little Princess” contest.

    Disney Princess spans across categories with merchandise to include toys, clothing, footwear, games, home videos, home products, paints, stationery, television, theatrical content, and mobile downloads. The franchise also extends itself to an on-ground experiential delight last year – Disney Channel’s ‘ My Little Princess Hunt -2005’.
