    Tech Mahindra announces merger of US subsidiaries

    MUMBAI: Tech Mahindra has informed Bombay the stock exchange that its step-down subsidiaries Comviva Technologies USA, Inc and Comviva Technologies Americas Inc. will merge, according to a regulatory filing on Friday, 28 February 2025.

    The boards of directors of both companies approved the merger plan on Thursday, 27 February 2025, with an appointed date of 1 March 2025. The merger remains subject to regulatory approvals in the country of incorporation.

    Comviva Technologies USA (the transferor company), incorporated in Florida, is a wholly owned subsidiary of Comviva Technologies Americas Inc. and reported a turnover of $ 0.65 million for the financial year ended 31 March 2024. The company provides IT services and solutions.

    Comviva Technologies Americas Inc. (the transferee company), incorporated in Delaware, is a wholly-owned subsidiary of Comviva Technologies Limited, India, with a turnover of $19.05 million for the financial year ended 31 March 2024. It specializes in Video Storage and Processing Platform (VSPP) business.

    Tech Mahindra stated that the consolidation aims to optimize operational costs and reduce compliance risks. As the transferor company is a wholly owned subsidiary of the transferee company, no cash consideration or new share issuance will be involved in the merger. The investment held by Comviva Americas in Comviva USA will be cancelled.

    The company received notice of this merger on Friday at 10 a.m. IST and has made this disclosure pursuant to Regulation 30 of the SEBI Listing Regulations.

    Biocon launches Ustekinumab biosimilar Yesintek in US market

    MUMBAI:  Biocon Biologics Ltd has announced the US launch of Yesintek  (ustekinumab-kfce), one of the first biosimilars to Janssen’s Stelara® to enter the American market.

    The biosimilar, approved by the US Food and Drug Administration in December 2024, is indicated for the treatment of Crohn’s disease, ulcerative colitis, plaque psoriasis and psoriatic arthritis. Yesintek will be available in all formulations currently offered by the reference product.

    Biocon Biologics chief executive officer & managing director Shreehas Tambe called the launch “a significant step in our commitment to improving the lives of patients with inflammatory conditions” and noted it represents the company’s first US product launch since becoming a fully integrated global biosimilars organisation.

    The monoclonal antibody disrupts IL-12 and IL-23 mediated signalling associated with immune-mediated diseases. Clinical studies demonstrated Yesintek has similar pharmacokinetic, safety, efficacy and immunogenicity profiles compared with Stelara®.

    Crohn’s & Colitis Foundation chief education, support and advocacy officer  Laura Wingate  described the launch as “a meaningful advancement for eligible chronic disease patients, who now have more treatment options available.”

    Biocon confirmed Yesintek will have commercial payer coverage at launch alongside a patient assistance programme that includes benefits verification and copay support, with eligible patients potentially paying as little as $0.

    Josh Salsi, head of North America at Biocon Biologics Inc, emphasised that healthcare providers switching to Yesintek can expect “a seamless treatment experience covering the same indications and dosing options.”

    MUMBAI: RPG group information tech and AI services/solutions firm, Zensar Technoloiges, has appointed two senior executives to head its operations in Africa and Europe. Kaushik Chatterjee becomes senior vice-president and head of Africa, while Anshul Srivastav takes the role of senior vice-president and head of Europe. Both appointments take effect from 1 April. Srivastav hitherto had just the sales portfolio under his belt, while Chatterjee was the global delivery head BFSI, healthcare and life sciences.

    Chatterjee brings 26 years’ experience in IT services, spanning business applications and infrastructure. His expertise lies in banking, financial services, insurance, and healthcare. Before joining Zensar, he held leadership positions at Cognizant and Citibank. Chatterjee holds a bachelor’s degree in electronics and electrical engineering, and an MBA from the Indian Institute of Management Calcutta.

    Srivastav, who joined Zensar in 2015, has worked across Europe, Asia and America over his two-decade career. His previous role was at Infosys’s financial-services division. With experience in banking, insurance, consumer services and retail, he specialises in business transformation and domain consulting. Srivastav studied electronics and communication at the National Institute of Technology Jaipur before earning his management degree from the Indian Institute of Management Ahmedabad.
